Board Composition and Refreshment Director Qualifications Per our Corporate Governance Guidelines, directors should: • Possess the highest personal and professional ethics and integrity, exercise good business judgment, and commit to represent the long-term interests of the company and our shareholders • Have the time, interest, and ability to engage actively in the board and its committees and outreach with the management team • Have an inquisitive and objective perspective, practical wisdom, and mature judgment • Serve our goal of diversity by providing a range of viewpoints relevant to our business In order to build an independent board with broad and diverse experience and judgment that is committed to representing the long-term interests of our shareholders, our board seeks out an overall mix of directors with relevant skills and experience for a publicly traded, NYC-based office REIT as well as diversity, independence, sufficient capacity to give ESRT their attention and focus, and a balance of tenures. Our board continually evaluates its composition and collective experience based on the company’s needs and strategy. Our Corporate Governance Guidelines provide that a majority of our board’s directors must be independent as required by the listing standards of the NYSE. Our Nominating and Corporate Governance Committee of the Board of Directors oversee board qualification and nominations and develop and recommend to the board the corporate governance principles and guidelines applicable to the company.
