Board Diversity The board seeks diverse composition in terms of race, gender, age, and experience. We have rotated in four new independent directors since 2017, three of whom are diverse in terms of gender, race, or ethnicity and rotated out three directors. In 2021, we amended our Corporate Governance Guidelines to codify our commitment to diversity by adding language requiring that the Nominating and Corporate Governance Committee shall seek to include candidates with a diversity of race, ethnicity, and gender in the pool from which such Committee recommends candidates. The company will consider the opportunity to enhance the diversity of the board with any new director appointment.

Leslie Biddle stepped down from the board on January 16, 2023, to assume her new position of Special Assistant to the Undersecretary of infrastructure at the U.S. Department of Energy.
