What are the criterions that make for a “good” Member of the Board? Common Sense and a Recognition of what is in the Best Overall Interests of the Club and a Majority of Its Members!

Three primary ‘legal’ duties of a Board Member:
Duty of Care
Duty of Loyalty
Duty of Obedience
Board Members must take the same precautions in governing the Club that an “ordinarily prudent” person would take.
Board Members must put the interests of the Club ahead of their own personal interests.
Board Members must remain faithful to the Mission of the Club.

Anyone being nominated and running for the Board must have a clear understanding of what his/her role as a Director is going to be!

Section 7.6.. Action of Individual Directors. Unle s authorized by the Board, individual Directors hav absolutely no authority to take action out id of Board m ting . Individual Board members have no authority to direct manag m nt, vendor . committ . or take any action whatsoever on behalf of the A soc1ation uni · authorized by th Board.
A Board candidate should:
Be widely known as a person of integrity, be articulate and command the respect of peers
Have demonstrated ability to work as a team member and ‘sets a good example’ in the way he/she conducts himself/herself; diplomatic
Have served on at least one club committee for at least two years, and been considered a good and reasonable contributor
Be a strategic thinker and be able to focus on ‘core’ issues
Not have a single or self serving agenda, or an actual or potential conflict of interest, and NOT have a goal of running the club
Be enthusiastic about the prospect of serving and able to devote the necessary time
Have outstanding business, administrative, or other valuable experience, proven ability or accomplishments
Be able to clearly articulate “why” he/she wants to serve on this Board

a. Candidates must be Members of the Association. Any Member that is not a natural person (such as a corporate Member or trust) may appoint a natural person to be a candidate on its behalf. b. Only one Owner per Lot shall be eligible to serve on the Board at any time. c. Candidates must not be delinquent in the payment of any regular or special assessments, with the exception of Owners who have entered into a valid payment plan with the Association. d. Candidates must have held membership in the Association for at least one (1) year prior to the date of the election. e. Candidates must not have been convicted of a crime that would prevent the Association from obtaining or maintaining fidelity bond coverage required by Civil Code Section 5806
The additional criteria were developed based on input from a workshop by Frank Bain of the McMahon group with characteristics required of high functioning HOA boards as judged by high ratings of residents. 1) Does the candidate represent the majority of homeowners or a small group? 2) Are they a strategic thinker? A top functioning board needs to focus on setting strategies and the direction for management 3) Will they allow management to manage the club? Board should sets direction and club should manage. 4) Does the candidate have a personal agenda? 5) Are they a team player? 6) Will they openly support board decision even if they voted against that decision? The main goal is to develop a high functioning board with qualified candidates who will best help us that goal. Desert Horizons Additional Criteria

Reflects the general demographics of the Club
