Fee and Billing Arrangements
Reimbursable expenses include travel and travel-related items. Zweig Group respects the budgets of its clients, and we travel as if we were spending our own money. Reimbursable expenses are billed at 1.15 times cost 48 hours after travel is complete. (*Required statement for all proposals)

Terms & Contingencies
Independent Contractor ZG is an independent contractor and is not an employee, partner, agent, or co- venturer of, or in any other service relationship with KG. The manner in which ZG services are rendered shall be within ZG’s sole control and discretion. ZG is not authorized to speak for, represent, or obligate KG in any manner without the prior express written authorization from KG, ZG is prohibited from acting as, or holding itself out as an agent of KG. Standard of Conduct Under this Agreement, ZG and KG shall conform to the highest professional work and business ethics standards. In no event shall ZG or KG take any action or engage in any activity that would discredit or bring disrepute to either of our firms during the performance of services hereunder and during the term of this Agreement. Scope of Work The services to be performed under this agreement will be limited to the specific tasks and deliverables outlined in the project scope. Any additional work outside this scope will require a formal written amendment, including revised fees and timelines, agreed upon by both parties. Confidentiality Both parties agree to maintain strict confidentiality regarding any proprietary, sensitive, or business-critical information shared throughout the project. Neither party shall disclose such information to any third party without prior written consent. Conflicts of Interest The consultant affirms there are no current conflicts of interest that would prevent the delivery of services as defined. Should any conflict arise during the term of this agreement, it will be disclosed immediately to the client for resolution. Non-Disparagement Both parties agree not to make any statements, whether oral or written, that may damage or harm the reputation, business, or goodwill of the other party during or after the project duration. Payment Terms The client agrees to remit payment within 30 days of receiving an invoice unless otherwise stated. Late payments will be subject to an interest fee of 1.5% per month on the outstanding balance.

Intellectual Property Any deliverables, documents, or work products created under this agreement will become the property of the client upon full payment. The consultant retains the right to use the work for portfolio or professional purposes unless otherwise agreed. Limitation of Liability The consultant’s liability for any claims, damages, or losses arising from this agreement will be limited to the total fees paid under this contract. In no event shall the consultant be liable for indirect, incidental, or consequential damages. Indemnification Both parties agree to indemnify, defend, and hold harmless the other party, its employees, and representatives from any claims, damages, or liabilities arising from the breach of this agreement or negligence during the performance of services. Force Majeure Neither party will be held liable for failure to fulfill its obligations under this agreement if caused by unforeseen circumstances, including but not limited to natural disasters, acts of war, or government actions. Dispute Resolution and Arbitration Any disputes arising out of this agreement will first be subject to good-faith negotiations between the parties. If unresolved, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Governing Law This agreement shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of law provisions. Entire Agreement This Agreement, including any Exhibits hereto executed pursuant to the terms of this Agreement and incorporated herein by reference, constitutes the entire agreement between the parties concerning the subject matter of this Agreement. Exhibits to this Agreement specifically include the Deliverables portion of the Project Summary and the Methodology portion of the ZG proposal to KG, as addressed in the above paragraphs. This Agreement supersedes any prior communications, agreements, or understandings, whether oral or written, between the parties relating to the subject matter of this Agreement.
