Roles and responsibilities Role of the Chair

Role of the Senior Independent Director The SID provides a sounding board for the Chair and, if necessary, acts as an intermediary for the other Non-Executive Directors. The SID also provides an alternative channel of communication for investors, primarily on corporate governance matters. The SID additionally leads the evaluation of the Chair and the search for a new Chair when necessary.

Role of Independent Non- Executive Directors The Non-Executive Directors help to set the strategy for the Group, contributing independent oversight and constructive, rigorous challenge. They also ensure the integrity of financial information, controls and risk management processes. Alongside serving on Board Committees, they scrutinise the performance of the Executive Directors against agreed goals and objectives.

Role of the CFO

The Chair is responsible for the leadership and overall effectiveness of the Board including performance evaluation of the Board and the CEO. The Chair agrees the agenda for each meeting of the Board, including discussion of issues of strategy, performance, accountability and risk. The Chair provides and promotes constructive challenge to management and facilitates the contribution of the Non-Executive Directors. The Chair sets clear expectations on culture, values and behaviours.

The CEO is responsible for leading the Group, overseeing day-to-day operations, developing and executing strategies and strategic priorities. Additionally, the CEO maintains relationships with shareholders and stakeholders, develops the Group’s executive management capability, and guides the overall development of Group policies whilst

The CFO is responsible for supporting the CEO in developing and implementing the Group’s strategy and communicating that to shareholders, whilst also providing strategic financial leadership, safeguarding the Group’s financial position and maintaining strong governance and controls over financial operations.

The CFO oversees the Group’s finance, procurement, investor relations and company secretarial functions.
