Amendmentto the Amended and Restated By-Laws of Venetian Bay Homeowners'Association,Inc.
This Amendmentdated effective June 29,2012 amends the Amended and Restated By- Laws ofVenetian Bay Homeowners'Association,Inc.,previously recorded in Official Record Book 5654 at page 18 ofthe Public Records ofVolusia County Florida(the"By-Laws")and provides;
Capitalized terms,unless defined herein,shall have the meaning ascribed to such terms in the By-Laws.
WHEREAS,Article XVIII Section 18.01 ofthe By-Laws provides that until such time as Owners,other than Declarant,are entitled to elect the members ofthe Board ofDirectors, Declarant reserves the right to amend,modify and alter any ofthe provisions ofthe By-Laws;and
WHEREAS,as ofthe effective date hereof,Declarant has the right to amend,modify and alter the By-Laws; and
WHEREAS,the undersigned Declarant as the Class B member is entitled to appointa majority ofthe members ofthe Board ofDirectors and desires to amend the By-Laws as setforth below.
NOW THEREFORE,pursuantto Article XVIII Section 18.01 ofthe By-Laws,Declarant does hereby amend the By-Laws as follows:
A) Article III Section 3.01(6)is hereby deleted in its entirety and the following substituted in its place:
(6) Dedicate,sell,or transfer all or any part ofthe real property and
improvements owned by it subject to approval and direction ofa majority ofthe members ofthe Board ofDirectors in writing with or without a meeting.
