The President shall preside at all meetings of the B<)ard of Directors. 11.09 In the absence or disability of the President~ the Vice President shall exercise the powers and perform the duties of the President. The Vice President shall also generally assist the President and exercise such other powers and perform such other duties as shall be prescribed b:y the Board ofDirectors. 11.10 The Secretary shall cause to be kept the minutes of all meetings <>f the Board of Directors aild tl10 Members; shall have custod:;· ofthe sea.1 of the Association and shall affi~~ the same to instrwnents requiring such seal when duly authorized and directed by the Board of Directo~i to do so; shall keep the records of the Association, except those of the Treasurer; and shall perfonn all duties incident to the office of the Secretary of the Association as may be required by the Board of Dir-ectors or the President. I 1.11 The Treasurer shall liave custody of all the property of the Association, including funds, securities and evidences if indebtedness; shall keep the assessments tolls and ac:counts of the Members; shall keep the books of the Association in acc-ordance with good acco1.U1ting pra~~tices; and shall petfo1m all of the duties incident to the office of a Treasurer..
