Health Professionals Foundation of Louisiana – Update 1 Dr. Williams explained that in recent years the Health Professionals Foundation of Louisiana (HPFL) 2 was deficient in keeping the LSMS up to date on foundation issues and status. As such, Dr. James 3 Hammond, Chief Medical Officer and Dr. Michael Ellis, President of the HPFL were invited to provide 4 a brief update to the board of governors. Dr. Hammond then provided an update on foundation activities 5 for 2019. The report included updates on demographics, referrals and their sources, actions taken by the 6 foundation, monitoring, relapses, and overall activities. Dr. Hammond also handed out the foundation’s 7 2019 annual report for review. Many members of the LSMS Board pointed out that there was not 8 enough communication and information exchanged between the Foundation and the Society. Staff also 9 pointed out that some historical documentation could not be located as well. After several questions 10 regarding the LSMS’ interest/ownership in the foundation and much discussion around its activities and 11 financials, the LSMS Board of Governors formally requested the following information from the HPFL: 12 1) original formation documents relative to 501c3 status, 2) the memorandum of understanding executed 13 between the foundation and the LSBME, 3) any formal policies and procedures used to determine 14 treatment plans and reporting requirements, 4) most recently audited financial statements, 5) current 15 year budget, and 6) a list of fees assessed by the foundation to other professions for utilization of the 16 foundation’s services. Additionally, the board requested quarterly reports and an annual report moving 17 forward on an on-going basis. Dr. Hammond and Dr. Ellis agreed this was appropriate and committed 18 to making sure the requested information was available to the LSMS for review. 21 Chris LeBouef, VP of Communications, introduced a draft social media policy for the board to review. 22 The purpose of the policy is so that the LSMS can appropriately monitor and adjust outside entries to 23 our social media platforms such as Twitter and Facebook. For example, staff can delete unprofessional 24 or disparaging comments and/or block inappropriate users from our pages. This policy simply gives us 25 that ability in writing should it ever need in a legal challenge. The draft policy reads as follows: 19 20 Draft Policy – LSMS Social Media 26 27 Louisiana State Medical Society (LSMS) has opened publicly facing pages on social media sites for 28 viewing content and/or videos and posting comments related to LSMS and its members. These social 29 media sites include but are not limited to various blogs, Facebook, LinkedIn, Pinterest, Twitter, 30 Instagram, and YouTube, hereinafter referred to as “Social Media Sites”. By accessing, viewing and/or 31 posting any content related directly or indirectly to LSMS on any Social Media Site, you accept, without 32 limitation or qualification, the following terms of use. Your engagement with any LSMS Social Media 33 Site constitutes acceptance of this Policy. 34 35 1. As a guest to any LSMS Social Media Site, you agree that you will not: violate any local, state, 36 federal and international laws and regulations, including but not limited to copyright and intellectual 37 property rights laws regarding any content that you send or receive via this Policy; transmit any material 38 (by uploading, posting, email or otherwise) that is unlawful, disruptive, threatening, profane, abusive, 39 harassing, embarrassing, tortuous, defamatory, obscene, libelous, or is an invasion of another's privacy, 40 is hateful or racially, ethnically or otherwise objectionable as solely determined in LSMS’s discretion; 41 impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person 42 or entity; transmit any material (by uploading, posting, email or otherwise) that you do not have a right 43 to make available under any law or under contractual or fiduciary relationships; transmit any material 44 (by uploading, posting, email or otherwise) that infringes any patent, trademark, trade secret, copyright 45 or other proprietary rights of any party; transmit (by uploading, posting, email or otherwise) any 46 unsolicited or unauthorized advertising (including advertising of non LSMS services or products), 47 promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes" or any other form of 48 solicitation; transmit any material (by uploading, posting, email or otherwise) that contains software 49 viruses, worms, disabling code, or any other computer code, files or programs designed to interrupt, 50
