A message from the President & Chief Executive Officer MATT’S MESSAGE

Congratulations on a very solid first quarter in fiscal year 2025. In April, we set our sights to accomplish our four corporate goals, and we are making strong progress in all key areas.

1.Deliver on Performance Profit Before Tax (PPBT) and Return on Invested Capital (ROIC): We are tracking ahead of budget for PPBT and in line with expectations for ROIC through a cross functional effort to improve cash flow. 2. Exceed targets for the Vitality Index (tracking revenue from new products) and generate incremental Performance Net Margin during this mid-range plan: Product pipeline and product life cycle management projects are all on track with some projects ahead of schedule. 3. Improve efficiency as we track expenses as a percentage of net sales: All departments and tracking favorable to budget on expenses and bring forth new ideas to reduce overall costs of operations.

4.Enhance our culture, safety, compliance, inclusion, and accountability: Key projects are underway in all areas with increased engagement in all four areas.

I am incredibly pleased with our progress and truly appreciate the focus and effort put forth by the Valent team. The marketplace remains challenging due to trade concerns, the poor ag economy, and unfavorable weather. Despite the headwinds, Valent is tracking with the marketplace on sales and market share thanks to your technical knowledge and customer focus.

Please keep that focus as we work to grow our business for the balance of this market year. Valent is the demand creation engine for North America, and I have complete confidence that our team can exceed expectations and outpace the competition.

Sales Funnel: Sales and Marketing meet weekly to drive EDI with retailers and boost distributor invoicing. Program Planning: MY26 programs and Retail Business Plans are launching earlier, now in Q3 instead of Q4, to help enable earlier distributor orders. SALES Rapidicil UVP Workshop (June 9–11): The Launch Team, FMD, and Sales reps gathered at MWARC to align on strategy, finalize messaging, and complete complaint training. Special thanks to Christine Tew, Frank Carey, Ron Estes, and the MWARC staff for their support. GAGLR Visit to Yuma: Allison Walston and Eduardo Silva hosted Yuto Ohata from Sumitomo for three weeks of insecticide testing at the Sustainable Solutions Research Center in Yuma. 2026 Pipeline Review: In July, Asset Management Teams will review current R&D projects and propose future investments to the Pipeline Oversight Committee to guide the 2026 pipeline. FIELD RESEARCH & DEVELOPMENT Valent received EPA registrations for Indiflin Zeltera premixtures, overcoming challenges due to pending ESA assessments of partner actives. The new Fierce EZ formulation was developed and submitted to enhance physical properties. A pilot run and successful robustness testing were also completed for the updated Senstar formulation. A petition to extend Mandestrobin data exclusivity to 2029 was submitted on April 21; an EPA decision is expected by Q3 2026. REGULATORY STRATEGY & FORMULATIONS Rapidicil launch prep is underway with pilot production complete, SAP SKU setup started, and the tolling site ready for full-scale formulation. SAP Ariba implementation is progressing, with the Business Requirement Document finalized and both Valent U.S.A. and Valent BioSciences moving into the configuration and testing phase. SUPPLY CHAIN FINANCE KPMG External Audit: Thank you to all who supported the audit. Audited financials were submitted ahead of the June 27 deadline, with only minor wording and formatting revisions. Tax Director Transition: After seven years of service, Larry Weisgal, Director of Tax, will retire on August 1, 2025. We thank Larry for his significant contributions to VGC and welcome Michael Daujotas as his successor. Michael joins the Valent North America Finance Team in Libertyville, IL, with deep expertise in international and domestic tax strategy and compliance.

SSBU Strategy & Market Updates: SSBU leadership met with key stakeholders from Valent U.S.A., MGK, and VBC to align on SRP/MRP and define near- and mid-term strategies—ending with clear action items (and top-tier Austin BBQ). We’re back in Hawaii with SSBU and Premium products, including key wins for Pyganic and Senstar. Thanks to Steve Anderson and Erin Miller for securing this success. Despite headwinds in the specialty market, FMD and S4 teams are working closely to identify growth opportunities for our biorational portfolio. Thanks to Greg Clarke, Jozsef Rackso, Amy Irish-Brown, Mike Keller, and Jim Wargo for driving these technical discussions. Market & Team Updates: The U.S. ag market began MY25 down 15.5% through February but has since improved to -7.6%, with continued recovery expected as summer conditions hold. In June, the Rapidicil team held a three-day workshop at MWARC to refine the product’s value proposition and positioning. Legal led training on complaint handling to support future stewardship. Our Compliance team (Lindsey and Sheeba) partnered with Segment Managers and Marisa to streamline the annual marketing program approval process—now documented and integrated into Monday.com for improved transparency and efficiency. Cash Flow Initiative :In response to Tokyo’s directive, Finance and Planning launched an effort that identified over $20M in potential monthly cash flow improvements through early SLT discussions. Everest Replacement: With Everest support ending in June 2026, IT and Planning are leading a system migration to enhance compliance and agility. A new platform has been approved by Tokyo and VGC, and an implementation partner is being selected. IBP Process Improvements: This year’s IBP enhancements focus on aligning distributor sales targets with SABP thresholds, clarifying the path to financial goals, and improving progress tracking. BUSINESS DEVELOPMENT Product Lifecycle Management (PLCM) Projects: Working with SCC Global Supply Team and strategic third parties to source key active ingredients that complement our core technologies for value innovative mixtures (e.g. INDIFLIN, Rapidicil, Bt). Supporting the AMT’s on pipeline PLCM projects. Strategic Third-Party Sales: Managing third party sales business to optimize our market access, complementing our branded business strategy. Data Compensation: Actively pursuing numerous third parties to negotiate data compensation settlements. Work closely with Regulatory, Legal and Finance teams. Preparing to present Data Compensation 101 training in Q2 FY2025.

IT Leadership & Strategy: To support our IT vision and ASDI strategy, John Dabkey joins as Sr. Manager, IT Service Delivery Ops, and Wade Ash as Director, IT Business Office—enhancing infrastructure, service, and business alignment. Compliance, Cybersecurity & Windows 11: J-SOX audits and SCC inspections are on track for Q2. Windows 11 upgrades began in June with a full rollout in August. Phishing click rates dropped to 3%, and a training assignment bug has been resolved. Platform Modernization: Biovia ELN is 80% migrated to Science Cloud, with full go-live by July 2025. OneStream will replace Everest by June 2026, improving financial planning, reporting, and integration.

SAFETY FIRST ALWAYS

Environmental, Health, and Safety By Phoebe Shamp Every year, Sumitomo Group Companies apply for the Annual Responsible Care Award. These awards highlight those who show that responsible care isn’t just policy, it’s everyday action. This is an employee driven award, focusing on innovation, collaboration, and impact. The ceremony is conducted in Japan.

This year, Valent North America’s Bill Osborne and Steve Zoubek received the RC Grand Award (the highest award) for the creation of the Life Critical Rules.

The Life Critical Rules were established to create a zero-tolerance policy on a set of rules intended to prevent significant injuries and/or fatalities. The Life Critical Rules are:

1.Entanglement: When working around rotating equipment, make sure guards are in place, don’t wear loose clothing or endanger your hands. 2.Hazards Control: Follow equipment isolation before working on equipment and never tamper with safety interlocks. 3.Fall Protection: Use measures and follow procedures to prevent and arrest falls from elevated work platforms above 4ft. 4.Confined Space Entry: Follow worksite permitting and procedures before entering industrial spaces. 5.Restraints: Ride only equipment designed for that purpose and always wear a restraint. 6.Safe Distance: Always keep a safe distance (10ft) from overhead loads and moving equipment, such as forklifts, vehicles, and agricultural equipment.

Valent Hosts UC Davis MANRRS Chapter, Strengthening Ties with Future Ag Leaders By Madison Lee

With a strong commitment to agricultural education, Valent has been a proud partner and advocate of the Minorities in Agriculture, Natural Resources and Related Sciences (MANRRS) organization. From attending conferences and sponsoring students to participating in mentorship programs—and most recently, hosting students from the UC Davis chapter at the North American Innovation Center (NAIC)— Valent continues to support the next generation of ag leaders. NAIC welcomed seven students for the visit, including Chapter President Camille Heskett, Clover Sutton, Liam Davis, Jessica Wagner, Liliana Espinoza-Martinez, Yash Choudhary, and their advisor Lucero Marcias-Torres, a former chapter president. The visit began with an introduction to the Valent story, giving students a deeper understanding of the company’s mission and the diverse career opportunities across the Valent Group of Companies. Students engaged directly with Valent leaders, asking thoughtful questions about the industry and exploring potential career paths. The exchange was mutually beneficial—students gained new insights into the agricultural field, while Valent gained perspective on what today’s graduates are looking for in an employer. During a Lunch & Learn session, students shared their personal MANRRS journeys, reflected on their experiences at the National Training Conference and Career Expo in Memphis, Tennessee, and discussed the impact of partnerships with organizations like Valent on their academic and professional development. The visit concluded with a tour of the NAIC lab facilities led by Eric Tamichi, Tim Arndt, Svetlana Bondarenko, and Leslie Garcia. Students learned about the registration process, the types of studies conducted, and the advanced equipment used in the lab. With such a successful visit, Valent looks forward to seeing how these future leaders use this experience to shape their professional journeys.

Celebrating Community, Culture, and Connection: PAVE ERG Hosts AAPI Heritage Month Event Across VGC

In May, our Pan Asian Valent Employees (PAVE) Employee Resource Group (ERG) brought employees across the Valent Group of Companies together for a vibrant and meaningful celebration of Asian American and Pacific Islander (AAPI) Heritage Month. The event featured a coordinated Microsoft Teams presentation for all employees and in-person gatherings at both the North American Innovation Center and the Biorational Research Center. The celebration highlighted the diverse cultures, rich traditions, and important contributions of the AAPI community — all while sharing delicious food, laughter, and camaraderie. The celebration began with a warm welcome from Vrutika Patel, followed by Brian Lin, who shared insights on the significance of AAPI Heritage Month and how PAVE is fostering inclusion and connection across the organization. Employees then tested their knowledge with an engaging AAPI-themed trivia game led by Nicole Kellerman and Marianne Malec, sparking friendly competition and a deeper appreciation for AAPI history and culture. The event closed with site-specific celebrations, coordinated by Leslie Garcia, where employees gathered in person to enjoy traditional foods, festive décor, and shared moments of reflection and community.
