UNIVET BRAND USAGE AUTHORIZATION LETTER

Hereinafter the Parties Univet and Applicant Company are individually referred as "Party" and collectively as the "Parties."
WHEREAS
The Applicant Company, as a customer of Univet Loupes S.p.a., has requested the opportunity to leverage the prestige and value of the Univet Brand for the specific event detailed below, subject to the conditions outlined herein. Recognizing the importance of safeguarding its brand integrity and reputation, Univet Loupes S.p.a., in adherence to its Brand Guidelines Policy, grants such authorization exclusively under the strict terms and conditions set forth in this Letter.
IN CONSIDERATION OF THE FOREGOING THE PARTIES HEREBY AGREE AS FOLLOWS
Univet Loupes S.p.a. (hereinafter referred to as “Univet”) hereby authorizes the Company to use the "Univet Brand” in the form of its logo, name, and direct references to Univet products and marketing materials (including but not limited to names, numbers, codes, logos, images, photographs, and any kind of representation where Univet brand or logo appears, hereinafter referred to as “Univet Resources”) for specific commercial or advertising initiatives, dedicated publications, social media, websites, or other digital publications. This authorization is strictly limited to the specific purposes expressly set forth below, and the Company may use the marketing tools solely within the scope of such purposes, undertaking full compliance with the conditions outlined herein: • Brand Guidelines - Maintaining brand consistency; logo usage, typography, colours, tone of voice as is. • Advertising Assets - Materials for online and offline campaigns-print ads, banners, social media ads, and digital display formats. • Catalogues - Comprehensive product overviews with specifications, pricing, and visual highlights—digital and printable. Off & online catalogue – ecommerce. • Flyers & Brochures - Documents to promote specific products, promotions, or events—print-ready and digital formats.

• Social Media Content - Pre-designed visuals, post templates, captions, and stories tailored for platforms like Instagram, Facebook, LinkedIn and any other form of social media platforms. • Product Images - High-resolution pack shots and lifestyle images categorized by product lines and usage. • Videos - Promotional videos, tutorials, testimonials, or behind-the-scenes content for use in presentations, websites, or social media. • Email Marketing Templates - Pre-formatted email layouts and visuals for newsletters, product launches, or seasonal campaigns. • Point of Sale (POS) Materials - Displays, posters, shelf-talkers, and in-store signage designed to attract attention at retail locations. • Event & Trade Show Materials - Booth visuals, roll-ups, handouts, and branded goodies for exhibitions and conferences. • Presentations & Pitch Decks - Branded PowerPoint or Keynote files to support distributor training, product pitches, or B2B meetings. The Company commits to informing Univet in advance of any intended use of the Univet Brand and to providing evidence of the executed work promptly upon publication or release. Any use not expressly covered by this Letter is strictly prohibited and shall be considered a violation of Univet intellectual property rights.
CONDITIONS FOR USE
The applicant company declares that it is aware that the use of the brand or the name is possible alongside the name or the initiatives of the applicant company and can’t constitute an autonomous form of promotion, since the secondary purpose is to strengthen the mutual image and not only to convey individually the brand Univet which has an independent management by Univet. It also declares to be aware of the fact that Univet constantly invests internationally and nationally in its own brand and has undertaken a communicative path inspired to the group values (design, technology, quality, user experience, made in Italy, service, proximity to customers, etc..) and therefore any direct or indirect initiative requests a full coherence with mentioned values. The applicant company is aware that as a result of this authorization of use granted by Univet, no contribution is due from the applicant company for the use of the brand and the name as indicated above, but that, at the same time, Univet company reserves its right to revoke this concession, at its incontestable discretion, in case the applicant company doesn’t comply with the terms of prior and subsequent communication, or in case the execution of the projects, of the brand use and of the name Univet would be detrimental to the image of the group or contrary to current rules and regulations. In any case, the use of the brand and the name by the applicant doesn’t imply any commitment from Univet to the initiatives of the applicant or obligation to third parties. In the event of revocation, any continued use of Univet Resources shall be considered unauthorized and may result in legal action, including claims for damages. Univet Resources may only be used for simple public presentations and for the sale of products, in accordance with the terms specified in this authorization. Univet Resources must be used solely in their original form, without any modification, alteration, or distortion of any kind. Only Univet Resources officially provided or expressly approved in writing by Univet may be used. Use of self-produced content or third-party designs is prohibited unless explicitly authorized.

If Univet Resources are modified or used in a modified form, whether with or without the Univet logo, the applicant company acknowledges that Univet reserves all legal rights to take appropriate legal action, should such modifications occur without prior approval. Any use of marks or logos other than those expressly granted in this authorization must be pre-approved in writing by Univet. Unauthorized use will be considered a violation of Univet intellectual property rights. Univet reserves all rights to the brand, logo, and any associated intellectual property. Any use of the Univet brand or logo outside the scope of this authorization will be considered a violation of Univet intellectual property rights and subject to legal action. Upon request from Univet, the applicant company must immediately cease all use of the Univet brand and logo, and, if necessary, return all items or materials provided under this authorization. Univet expressly disclaims any and all liabilities arising from the use of images that do not directly reference the Univet brand or logo or products. The applicant company acknowledges that it bears sole and full responsibility for ensuring that any images used in connection with this authorization comply with applicable laws, regulations, and the terms of this Letter. Furthermore, any use of images, representations, or materials that are not related to Univet brand, or that fail to be clearly and directly referred to Univet Resources, shall be deemed as unauthorized. Univet shall not be held responsible for any claims, damages, or disputes arising from such unauthorized use, and the applicant company agrees to indemnify and hold harmless Univet, its affiliates, and representatives against any legal or financial consequences resulting therefrom.
LEGAL AND RELATIONSHIP TERMS
This authorization does not establish a partnership, joint venture, agency, employment, franchising, or distribution relationship between Univet and the applicant company, other than as expressly stated in this Letter. The applicant company acknowledges that their relationship with Univet is strictly limited to the terms outlined in this Letter, and that neither party has the authority to bind the other or act on behalf of the other, except as provided for in this authorization. This document has been exclusively prepared by Univet and is printed on official Univet letterhead. It constitutes proprietary material and reflects Univet’s rights and intentions. This document shall be deemed valid and binding upon execution by the Applicant Company with an original wet-ink signature, provided it is signed in the exact form as prepared and approved by Univet. In such case, no signature from Univet shall be required. No clause, section, or content of this document may be altered, amended, supplemented, reproduced, or executed in any different format or version without the prior written consent of Univet. Any document signed in breach of this provision shall be considered null and void. Univet expressly reserves all rights and remedies in relation to the content and use of this document. Any unauthorized modification or use shall not affect or limit Univet’s legal entitlements.

This Document shall be governed by and construed in accordance with the laws of Italy. Any dispute, controversy, or claim arising out of or in connection with this Document, including its existence, validity, interpretation, performance, breach, or termination, shall be exclusively subject to the jurisdiction of the courts of Italy.

The Authorization granted under this Letter may be revoked exclusively by written notice from Univet to the Company (sent via mail or email), notifying the withdrawal of the authorization. Such revocation shall be effective immediately upon receipt, unless otherwise specified in the notice.
