If Univet Resources are modified or used in a modified form, whether with or without the Univet logo, the applicant company acknowledges that Univet reserves all legal rights to take appropriate legal action, should such modifications occur without prior approval. Any use of marks or logos other than those expressly granted in this authorization must be pre-approved in writing by Univet. Unauthorized use will be considered a violation of Univet intellectual property rights. Univet reserves all rights to the brand, logo, and any associated intellectual property. Any use of the Univet brand or logo outside the scope of this authorization will be considered a violation of Univet intellectual property rights and subject to legal action. Upon request from Univet, the applicant company must immediately cease all use of the Univet brand and logo, and, if necessary, return all items or materials provided under this authorization. Univet expressly disclaims any and all liabilities arising from the use of images that do not directly reference the Univet brand or logo or products. The applicant company acknowledges that it bears sole and full responsibility for ensuring that any images used in connection with this authorization comply with applicable laws, regulations, and the terms of this Letter. Furthermore, any use of images, representations, or materials that are not related to Univet brand, or that fail to be clearly and directly referred to Univet Resources, shall be deemed as unauthorized. Univet shall not be held responsible for any claims, damages, or disputes arising from such unauthorized use, and the applicant company agrees to indemnify and hold harmless Univet, its affiliates, and representatives against any legal or financial consequences resulting therefrom.
LEGAL AND RELATIONSHIP TERMS
This authorization does not establish a partnership, joint venture, agency, employment, franchising, or distribution relationship between Univet and the applicant company, other than as expressly stated in this Letter. The applicant company acknowledges that their relationship with Univet is strictly limited to the terms outlined in this Letter, and that neither party has the authority to bind the other or act on behalf of the other, except as provided for in this authorization. This document has been exclusively prepared by Univet and is printed on official Univet letterhead. It constitutes proprietary material and reflects Univet’s rights and intentions. This document shall be deemed valid and binding upon execution by the Applicant Company with an original wet-ink signature, provided it is signed in the exact form as prepared and approved by Univet. In such case, no signature from Univet shall be required. No clause, section, or content of this document may be altered, amended, supplemented, reproduced, or executed in any different format or version without the prior written consent of Univet. Any document signed in breach of this provision shall be considered null and void. Univet expressly reserves all rights and remedies in relation to the content and use of this document. Any unauthorized modification or use shall not affect or limit Univet’s legal entitlements.
