ANCHOR-R&A-2024-FNL-080824

Changes to our Executive Team during 2023/4: • Kate Smith, Executive Director – Business Services, resigned January 2024 • Julia Mixter appointed Executive Director - Business Services, May 2024 Board Governance The Anchor Board comprises nine non-executive directors, all of whom are independent, together with the Chief Executive and Chief Financial Officer. Our Board is responsible for setting the Anchor strategy, reviewing Anchor’s ongoing operational and financial performance, and making all major strategic, governance, financial planning and investment and policy decisions. These decisions are formally reserved to the Board in the schedule of matters reserved. The Board delegates the responsibility for the day-to- day operation of Anchor to the Chief Executive and the Executive Committee, allowing for efficient operational decision making. Five standing Board Committees have been established to support the Board in its responsibilities. The membership of the committees comprises non- executive directors, with committee appointments being approved by the Board on the recommendation of the Nominations Committee. Each Board Committee has its own terms of reference, which set out their responsibilities and powers. The Board Committee structure is set out below and further information on the activity of each Board Committee during the year can be found in the following pages. Board and Committee Performance Review Each year a formal review is undertaken to assess the performance of the Board, its Committees and its members. The review seeks to identify strengths as well as potential areas for improvement. In 2023, an external Board evaluation and governance review took place with the support of a third-party provider. Saxton Bampfylde (which has no connection other than standard business with Anchor or its directors) led the evaluation. The Board agreed an action plan based on recommendations from the review, which has now been completed. An internal Board and Committee performance review took place in early 2024. It consisted of: • A survey considering Board performance and governance matters, including performance of the Chair. All Board members and executives took part. • A committee performance survey, which the members of respective committees were invited to take part in. • An individual performance self-assessment which all Board members completed. • Chair one-to-one meetings with each Board member. • Senior Independent Director one-to-one meeting with the Chair.
