ARTICLE XIII GENERAL INFORMATION ABOUT THE PLAN There is certain general information which you may need to know about the Plan. This information has been summarized for you in this Article. General Plan Information Mid-America Apartment Communities, Inc. Employees’ Stock Ownership Plan is the name of the Plan. We have assigned Plan Number 002 to the Plan. The amended and restated provisions of the Plan become effective on April 1, 2013. The Plan’s records are maintained on a twelve-month period of time. This is known as the Plan Year. The Plan Year begins on January 1st and ends on December 31st. Certain valuations and distributions are made on the Anniversary Date of your Plan. This date is the last day of the Plan Year. The contributions made to the Plan will be held and invested by the Trustee of the Plan. On December 31, 2010 the Plan was frozen by amendment, whereby effective January 1, 2011, no additional employees became eligible for the Plan, no additional contributions were made to the Plan, and all Participants with an account balance under the Plan became 100% vested. The Plan will be governed by the Code, ERISA, and the laws of the State of Tennessee, other than its laws respecting choice of law, to the extent not pre-empted by ERISA. The Trust shall be construed and enforced according to the Code, ERISA, and the laws of the State or Commonwealth of Delaware, other than its laws respecting choice of law, to the extent not pre-empted by ERISA. Benefits provided by the Plan are NOT insured by the Pension Benefit Guaranty Corporation (PBGC) because the insurance provisions under the Employee Retirement Income Security Act (“ERISA”) are not applicable to the Plan.
