General Sales Conditions 1. These General Conditions of Sale are applicable to any order forwarded by the customer to Sambonet Paderno Industrie S.p.A. 2. Sambonet Paderno Industrie S.p.A reserves the unquestionable right to modify these General Conditions at any time, by giving written notice to the customer. 3. Novara will be the only place of venue and jurisdiction should any dispute, controversy or claim occurs. Italian Laws will be applied exclusively. 4. The personal data provided by the customer will be processed in compliance with EU Regulation no. 679/2016 and Legislative Decree n. 196/2003. Offers/Orders 1. All orders are subject to approval and acceptance by Sambonet Paderno Industrie S.p.A. 2. Minimum order € 100.00 net. 3. Any offer forwarded by Sambonet Paderno Industrie S.p.A will not be binding. 4. The written acceptance of any offer, or the order confirmation (according to the sales conditions included in it), constitutes a valid purchase order in accordance with the general sales terms & conditions, for all the purposes thereof. 5. Standard packaging is included in the price. 6. Customers who intend to avail themselves of the non-taxability stated in art. 8, paragraph 1, letter c), of the D.P.R. no. 633/1972 (declaration of intent), must communicate it in writing upon sending the order, to allow the completion of the necessary administrative procedures. Ownership & Payment Terms 1. All goods remain the sole property of the Sambonet Paderno Industrie S.p.A. until payment has been made in full. 2. Title to the ownership of any delivered good shall be transferred to the client upon full payment of the price set forth in the invoice. Payment becomes due within the payment term agreed upon by the parties. Should any amount to be paid by the client become overdue, the client shall pay a late payment interest pursuant to art. 5 D.LGS. 231/2002, as subsequently amended pursuant D.LGS. 192/2012, plus an 8% interest rate. 2. Should any good be damaged or defected, the waybill shall be signed with reserve, specifying the relevant reason (pictures of the good displaying the batch number, the courier and a description of the defect must be presented). 3. Product returns must be made within 15 days of invoice date, subject to the following conditions: a) claims and complaints must be made through the guided procedure available on our website, www.agenti.sambonet.it, under the user section; b) Goods are delivered ex works - at our premises in Orfengo; c) in case of customer liability, Sambonet Paderno Industrie S.p.A. will charge 15% of the net value of the goods, with a minimum of € 25.00 for handling charges; d) in case goods are returned due to our fault, Sambonet Paderno Industrie S.p.A. will replace them free of charge; e) client will be responsible for all shipping costs for products purchased out of warranty that need to be returned for repairs; f) customized (not included in our catalogue), Tailor Made engraved, with extra personalization and discontinued items cannot be returned. Order Cancellation 1. Cancellation is not allowed in case of discontinued, custom designed, and non-stock items. 2. Catalogue items can be cancelled only if the purchase order has not yet been confirmed. Delivery Terms – Group A Austria, Germany, Netherlands, Belgium, Luxembourg, France, UK: 1. Goods are delivered at client’s place: a) with a charge of € 15.00 for orders with a net value between € 100.00 and € 350.00. b) free of change for orders with a net value over € 350.00. 2. Above delivery terms are valid only for shipments executed through our fixed forwarding agent. Delivery Terms – Group B Spain, Portugal, Poland, Czech Republic, Slovakia, Hungary, Romania, Slovenia, Croatia, Bulgaria, Denmark, Norway: 1. Goods are delivered at client’s place: a) with a charge of € 30.00 for orders with a net value between € 100.00 and € 600.00. b) free of change for orders with a net value over € 600.00. 2. Above delivery terms are valid only for shipments executed through our fixed forwarding agent. Returns/Complaints 1. Goods must be inspected at the time of delivery. Delivery Terms – Group C Greece, Ireland, Latvia, Lithuania, Estonia, Sweden, Finland: 1. Goods are delivered at client’s place: a) with a charge of € 50.00 for orders with a net value between € 100.00 and € 1,000.00. b) free of change for orders with a net value over € 1,000.00. 2. Above delivery terms are valid only for shipments executed through our fixed forwarding agent.
Sambonet Tailor Made personalizations (The costs indicated are net) 1. Type of standard Tailor-Made engravings: a) On the front terminal: one of the standard logos, or the monogram (two letters) using one of the standard characters; b) On the rear terminal: the date in the standard format, using one of the standard characters; 2. Tailor-Made engraving cost:
a) € 19.90 for engravings on the front terminal; b) € 19.90 for engravings on the rear terminal; c) € 39.80 for engraving on both the front and rear terminals. 3. Minimum purchase order for Tailor Made loose items:
a) 6 pcs for nickel-silver items, multiples of 6 pcs; b) 12 pcs for all other items, multiples of 12 pcs. 4. Application of the Tailor-Made engraving cost on the single purchase order: a) A single cost per type of engraving, as set out in point 2; b) A single cost regardless of the number of pcs, if higher than the minimum purchase indicated in point 3; c) One cost regardless of the number of pcs up to 150 pcs. d) Above 150 pcs and at multiples of 150 pcs the cost of engraving will be applied again. Special conditions for personalisations 1. The Company reserves the right not to carry out the customization if it considers it not technically executable. 4. The costs of customised order preparation (such as labelling, packaging, palletization and/or any other non-standard requirements) will be charged to the Customer. For conditions, costs, and specific details, please refer to the company document "Sales Service Charter". Marketing 1. The goods are intended for marketing in the Country where the customer is based. If the goods are sold in a different Country, the client shall undertake to verify the regulations applicable to the goods in such Country, including customs and import rules, as well as the risk of disputes by third parties for any reason whatsoever. It being understood that the client shall hold Sambonet Paderno Industrie S.p.A. freehand harmless of any claim and/or legal action from third parties arising by the sale of the goods in such different Country. 2. Sambonet Paderno Industrie S.p.A. does not provide any guarantee regarding possible infringement of intellectual property rights of third parties, in particular in the event of resale of the goods over the internet. 3. It is prohibited to publish prices lower than the price lists in force on websites without authentication. 2. Customized orders and special executions cannot be cancelled. 3. Customized products cannot be returned for replacement. Retention of title and payment terms 1. Any complaints shall not in any case have the effect of deferring or suspending payments. 2. Any payment delays shall therefore render the Customer a debtor by law to Sambonet Paderno Industrie S.p.A. of a lump sum indemnity for reminder costs of € 40.00. If the reminder costs exceed the amount, Sambonet Paderno Industrie S.p.A. will have the right to claim a further indemnity. 3. In the event of non-payment of all or part of the invoice, or of any deterioration in the Customer's financial situation, Sambonet Paderno Industrie S.p.A. will also have the right to: a) suspend or cancel the orders and deliveries in progress; b) request advance payment for further orders and/or payment guarantees. Delivery, Force Majeure, and Excessive Onerousness 1. The delivery deadlines are indicated as accurately as possible, but they depend upon the procurement and transportation conditions of Sambonet Paderno Industrie S.p.A., which undertakes to apply the utmost diligence to respect the deliveries, subject to causes of force majeure. 2. If the planned delivery deadlines are exceeded, Sambonet Paderno Industrie S.p.A. shall not be required to pay any penalty, damages compensation or interest. 3. Any change to the order will lead to a consequent change to the delivery date. 4. Sambonet Paderno Industrie S.p.A. will keep the Customer informed of any delay. In any case, the delivery within the deadlines may only be made if the Customer has precisely fulfilled all its obligations towards Sambonet Paderno Industrie S.p.A., whatever the cause. 5. Sambonet Paderno Industrie S.p.A. will not be held responsible if the delayed or non-performance of the contractual obligations depends on causes of force majeure, to the extent that the interested party demonstrates: a) that such impediment is beyond its reasonable control; b) that the impediment could not reasonably have been foreseen at the time of conclusion of the contract; and c) that the effects of the impediment could not reasonably have been avoided or overcome. In the absence of evidence to the contrary, force majeure events are considered, but not limited to, war, riot, trade restrictions, embargo, fire, destruction of equipment, strikes, act of legal authority, compliance with any law or government order, plague, epidemic, pandemic, natural disaster, or extreme natural event. In such cases, Sambonet Paderno Industrie S.p.A. may suspend the fulfillment of its contractual obligations, giving immediate written notice to the other party and the deadline for the execution of the supply may be extended for a period equal to the duration of the event. Unless otherwise agreed in writing, once the period of suspension has elapsed, the contract will be considered terminated without further notice. 6. Sambonet Paderno Industrie S.p.A. may also terminate the contract if the performance of the service is made objectively too onerous by an unforeseeable circumstance beyond its control. 7. It is, moreover, agreed between the parties that if the Customer does not take possession of the ordered products under the established conditions, Sambonet Paderno Industrie S.p.A. will invoice to the Customer: a) any additional transportation and/or storage cost; b) custody costs equivalent to 5% of the order amount, excluding taxes, for each month of delay. Important notice 1. The perception of colour may be subjective, in function of geometries, dimensions, finishes, and lighting in the environment. The products subject to PVD processing may manifest slight chromatic variations or diversities between different models, series, or batches of the same product. These variations are acceptable if within the established tolerance limits, which are strictly monitored. 2. Errors may occur during the printing stage. Sambonet Paderno Industrie S.p.A. reserves the right to correct printing or calculation errors. 3. The pictures illustrated, and data are representatives. Sambonet Paderno Industrie S.p.A. reserves the right to alter at any time the specifications stated without notice. 4. The shapes of cutlery illustrated in this publication are representatives and are not to be considered as the real shape.
Delivery Terms – Group D EU and Extra-EU countries not specified in the previous paragraphs: 1. Goods are delivered ex works.
Personalisations (The costs indicated are net) 1. Sambonet Paderno Industrie S.p.A. makes customizations and special executions at the customer's request under the following conditions: a) advance payment of 30% on the value of the order; b) delivery to be agreed after approval of the executive design and/or the sample; c) Sambonet Paderno Industrie S.p.A. reserves the right to apply a tolerance in quantity of +/- 10% (rounded up) for each item ordered; d) Sambonet Paderno Industrie S.p.A. shall provide the Customer with a form indicating all the necessary parameters (design, position, dimensions, etc.) and shall proceed with the supply only upon receipt of the same signed for acceptance. 2. Sawing of fruit knife blades: if not standard, € 0.65 per piece will be charged. 3. Pantograph/Laser engraving: a) plant cost: € 70.00. b) engraving cost: cutlery € 0.50 per piece – holloware € 1.00 per piece. c) minimum quantities: cutlery 100 pcs – holloware 10 pcs. 4. Stamping: a) die costs: € 300.00 for the first die - additional dies € 150.00 each; b) stamping costs: cutlery € 0.50 per piece - holloware will be quoted upon request; c) minimum quantities: - first order: cutlery 1,000 pieces per item - hollow handle knives 800 pieces per item; - for further orders: cutlery 100 pieces per item - hollow handle knives 800 pieces per item.
