Completion Deliverables - Statutory Registers and Minute Books of – Common seal, minute book, certificate of incorporation and change of name, etc. - Login details - In the agreed form relating to each of the Seller's social media accounts (if any), website, and other marketing sources or portals - Employee Details - In the agreed form in respect of each of the Employees - Insurance Evidence - Evidence in a form satisfactory to the Buyer that appropriate insurances have to be obtained (and paid for) in respect of the Seller's employers liability insurance, directors’ and officers’ - Release Evidence - Evidence in a form satisfactory to the Buyer that all guarantees, bonds and indemnities, securities or Encumbrances given by the Sellers relating to the indebtedness, liabilities or obligations of the Seller or any person connected with the Seller have been released. - Sellers Bank Account - A statement for that account as at the close of business on the Business Day immediately before Completion; a copy of the mandate for that account; and all chequebooks in respect of that account; - Balance Sheet - A balance sheet in respect of the Target as at close of business on the Business Day prior to the Completion Date - Bank Cards - All credit, debit or other cards in the name of or for the account of the Sellers in the possession of any person resigning from an office or employment on Completion
