6.9 LICENSING OF BUSINESS REPRESENTATIVES, DISTRIBUTORS ANDAGENTS The license is a certificate for distributors and agents of national and foreign companies. BENEFITS: a. The maximum TGR tobepaid is L.200.00,and for the issuanceof certifications,L.200.00 pereachmodality.The costof publicationintheofficialGazetteisborneby The legal proxy must submit the application to obtain the license before the offices of the General Secretariat of the SDE, accompanied by the followingdata anddocuments: a. General data andRTNof the legal proxy, applicant person or company: Name, identity cardnumber,address, telephonenumber. b. Legal domicileof thegrantor and the concessionaire. c. Nameof thegrantor towhomthe concessionaire will represent,broker or distribute. d. Descriptionof goods and their trademarks e. Specify the domicile, nationality and jurisdiction in the national territory; the general information of the previous representatives, agents or distributors of the grantor or the specificationof not havinghad any, as casemaybe. f. Date and termination of the contract or document proving the actual andeffectiveprovisionof these services. g. Defined and indefinite duration. If the duration is not indicated, it will be consideredgranted for an indefiniteperiod. h. Indicate that the representation, distribution or agency is exclusive. If theexclusivity is not granted, it will beunderstood that it is not. the interestedparty. REQUIREMENTS:

*When the contract is signed abroad, for it to be valid in Honduras, it must be apostilled or authenticated by the Consulate of Honduras in the country where it is extended and obtain the consular authentication, including the one of the Ministry of Foreign Affairs. In addition, any copy of the documents accompanying the application must be authenticated. The followingdocuments are required: a. Power of attorney conferred on a member of the Honduran Bar Association. b. Copy of the company or merchant’s Articles of Incorporation, authenticated and registered in theMercantile Register; the place where theoriginals are keptmust be stated. c. Certification of the Chamber of Commerce, of being registered and solvent in thepayment of dues. d. National TaxRegistry. e. Documents showing the signature of the Contract of Representation, Distribution or Agency, or letters that have been crossed between the grantor and the concessionaire. If a Distributor, Representative or Agent under the Special Regime of Representatives, Distributors and Agents of the Free Trade Agreement between the Dominican Republic, Central America and the United States (US RD-CAFTA), the same requirements shall be met, except for the publication in the Official Gazette. * All documents submitted must be translated into Spanish.
