Best Practice Corporate Governance At Trex, we believe transparent and ethical leadership is key to our long- term success. Our strong corporate governance practices help us manage risks, stay true to our values, and promote a culture of integrity. Board and Executive Leadership Our Board of Directors and senior management team work together to guide, develop, and drive the success of Trex. Every year, senior management presents a multi-year strategic plan with clear goals to the Board. Progress toward these goals is reviewed quarterly by the Board and senior management. LOGO USAGE

Audit Committee Oversees matters related to the company’s accounting and auditing as well as compliance with legal and regulatory requirements Compensation Committee Reviews, determines, and approves compensation and benefits the company’s officers Nominating/Corporate Governance Committee Recommends candidates for election to the Board and its committees; oversees matters related to sustainability performance, succession planning, and nonemployee director compensation
