Board Independence

Our CEO-to-median employee compensation ratio consistently stays well below the national average.

LOGO USAGE

At Trex, our Board provides diverse, independent, and experienced oversight to help guide our business. We are dedicated to selecting Board members who offer a range of viewpoints and backgrounds, following our Director Nominations Policy. Currently, four out of ten Board members are women, and two identify as ethnically diverse. Apart from Bryan Fairbanks, our President and CEO, all Board members are independent under applicable legal and stock exchange standards. Stock Ownership

To ensure Directors and Officers are aligned with stockholders, Trex has Stock Ownership Guidelines. These guidelines require: The CEO to hold shares equal to at least three times their base salary; Other Officers to hold shares equal to 1 to 1.5 times their base salary; Outside Directors to hold shares equal to at least three times their annual cash retainer. New Officers and Directors have five years to meet these requirements. As of December 31, 2024, all Officers and Directors are in compliance.

Executive Compensation Approach

Our executive compensation program is designed to align the interests of our executive officers with those of our stockholders. We reward performance that meets or exceeds goals set by the Board and Compensation Committee to boost stockholder value. In fact, at our 2024 annual meeting, 92% of stockholders voted in favor of our executive compensation proposal. We are committed to transparency, sharing executive compensation details in our annual Proxy Statement and other communications.

Political Contributions

In line with federal law and our Code of Conduct and Ethics, Trex did not donate any corporate funds for political advocacy or other political purposes in 2024.
