NOTICE OF PROCESS FOR ANNUAL ELECTION OF MEMBERS OF THE BOARD OF DIRECTORS FOR THE TONTO VERDE ASSOCIATION NOVEMBER 1, 2024

The Governance Documents of the Tonto Verde Association (TVA) provide that the election of Directors of the TVA is to occur at the annual meeting. The TVA has scheduled the annual meeting for Monday, March 24, 2025. In accordance with our Governance Documents, the notice to members describes the procedures, key dates, and other information regarding the election process. This year, three (3) Directors’ terms expire: Lew Devendorf, Tom Schouten, and Susan Warzecka. Accordingly, there will be three vacancies on the Board to be filled in the election at the 2025 annual meeting. The Nominating Committee appointed by the Board of Directors, Lew Devendorf (chair), Diane Newcomb, Lynn Robinson, Charlie Roth, and Jim Uffelman will manage the nomination process and recommend the three (3) candidates it deems best qualified to serve as Directors of the TVA. These positions will be for one three-year term. Some of the characteristics that the committee will be looking for in the nominees are: a) previous Tonto Verde volunteer activity, b) experience with HOA Boards and committees elsewhere; c) relevant work experience, including other leadership positions, d) the candidate’s vision for the TVA today and tomorrow, and e) the thoughtfulness of responses during an interview process. The Nominating Committee will publicly post its list of candidates nominated as directors at least sixty (60) days prior to the annual meeting. All nominees will be required to sign the TVA Code of Conduct and Ethics. Any member interested in being considered by the Nominating Committee should submit his or her resume to Lew Devendorf at Ldevendorf613@gmail.com as soon as possible but no later than the end of the day December 15, 2024. Given the evaluation criteria above, the committee also requests that any such member answer the following two questions: 1.What is your short and long-term vision for Tonto Verde? 2. What qualifications do you have that will add value to the TVA? Outside of this process, members may nominate additional candidates by petition containing the signatures of a minimum of seventy-five (75) members entitled to vote. The petition must be (a) posted on the community bulletin board in the clubhouse, and (b) submitted to the Secretary of the Board, Susan Warzecka, 27313 N. Aqua Verde Drive, by the end of the day, February 13, 2025. Members utilizing this procedure should refer to the Bylaws of the TVA for a more complete explanation of the process. In as much as petitioned candidates will be included on the ballot, the Nominating Committee also requests the candidates submita resume and answer the two questions above. They will also be required to sign the TVA Code of Conduct and Ethics.
