Founded in 1958 by Thurman Averitt and acquired by Gary Sasser in 1971, Averitt has grown into one of the nation’s most awarded freight transportation and logistics providers. Headquartered in Cookeville Tennessee, we operate a network of facilities and service centers across the United States. Our business is organized into five interconnected service units. This unique, “all under one roof” structure allows us to offer comprehensive transportation and logistics services that meet the evolving needs of customers in over 100 countries.

ABOUT THIS REPORT Averitt adheres to the Sustainability Accounting Standards Board (SASB) framework to guide our reporting on key issues in the road transportation sector. This report covers all of Averitt’s assets, full- and part-time associates, and operations under Averitt’s control. A detailed summary of our disclosures and key performance indicators (KPIs) can be found in the Appendix.

Some figures in this report were originally provided in CO₂ rather than CO₂e. The difference between the two is typically less than 0.3%, as CO₂e includes the minor additional impact of other greenhouse gases such as methane and nitrous oxide. To maintain consistency with industry standards and sustainability frameworks, Averitt reports total emissions and reductions in CO₂e.

GOVERNANCE Averitt is a privately held company guided by a dedicated Executive Team that ensures the organization remains aligned with its core values and strategic objectives. Led by our CEO and COO, this team is committed to upholding the highest standards of leadership, ethics, and operational excellence. The Executive Team provides oversight for critical areas of the business – from financial stewardship and long-term planning to safety, associate well-being, and environmental responsibility. Their role is not only to drive performance but to ensure Averitt’s culture and values remain strong as we grow.

Gary Sasser has been leading Averitt since he acquired the company in 1971. Under his leadership, Averitt has grown into a leading freight transportation and logistics provider.

Barry Blakely President and COO

Barry Blakely joined Averitt in 1986, starting with the sales team in Atlanta. He quickly moved up to become the Service Center Director in Birmingham, later serving in regional leadership roles and as Vice President of Operations. All governance responsibilities fall under his guidance and oversight.

Kent Williams Executive Vice President, Sales & Marketing Kent Williams began his Averitt career in 1987 when he joined our Cookeville sales team. Kent currently drives our sales and marketing efforts, focusing on expanding our customer reach and building strong customer relationships.

Johnny Fields Executive Vice President and CFO

A part of Averitt since 1996, Johnny Fields was promoted to his current position in 2018. Johnny is responsible for managing the company’s financial strategies, ensuring fiscal health, and guiding long-term financial planning to support Averitt’s continued growth and success.

COMMITTEE OBJECTIVES INCLUDE:

Developing an Environmental Policy: This policy serves as the backbone of our efforts, guiding our environmental performance and ensuring alignment with our sustainability goals.

Creating a Greenhouse Gas (GHG) Inventory: Compliant with the GHG Protocol, this inventory helps us measure and manage our emissions effectively.

CSR STEERING COMMITTEE The Executive Team delegates day-to-day responsibility for managing social and environmental impacts of the company to a CSR Steering Committee , which reports directly to President and COO Barry Blakely. This cross-functional group is composed of top-level leaders from throughout the company: Procurement, Operations, Human Resources, Finance, Marketing and Communications, Safety and Compliance, IT, and Corporate Services. The committee was formed to embed sustainable and responsible business practices even more deeply into our operations.

Enhancing Supplier Engagement: Through a sustainability survey and incorporating sustainability language into contracts, we are ensuring that our supply chain aligns with our environmental standards.

Public Disclosure: We are committed to transparency by publicly disclosing GHG emissions and other vital metrics, adhering to the Sustainability Accounting Standards Board (SASB) guidelines.

MEASURING OUR PROGRESS

SASB REPORT The Sustainability Accounting Standards Board (SASB) provides a widely recognized framework for companies to report on their sustainability-related risks and opportunities. The standards were developed using a thorough and transparent process that included evidence-based research; broad and balanced participation from companies, investors, and subject matter experts; and oversight and approval from the independent SASB. ABOUT SASB Global investors recognize SASB Standards as essential requirements for companies seeking to make consistent and comparable sustainability disclosures. SASB Standards identify the sustainability-related issues most relevant to investor decision-making in 77 industries. As of August 2022, the International Sustainability Standards Board (ISSB) of the IFRS Foundation assumed responsibility for the SASB Standards. The ISSB has committed to maintain, enhance, and evolve the SASB Standards and encourages preparers and investors to continue to use the SASB Standards.

This Materiality chart provides a visual representation of Averitt’s priorities and strategic focus. Averitt conducted a comprehensive Materiality Assessment aligned with SASB methodology and material topics for Road Transportation. Our Materiality Assessment included stakeholder feedback and data from associates, customers, suppliers, communities, and regulators. Averitt’s ERM process encompasses assessment across direct operations and upstream and downstream activities across the value chain. Risk and opportunities identification considers multiple time horizons to ensure alignment with business strategies in the short term (0-1 years) and medium term (2-5 years). Averitt’s ERM process includes an enterprise-wide and site-specific evaluation and management of social and environmental risks and opportunities that are material to its business based on a 2024 Materiality Assessment and industry standards such as SASB. The Executive Team periodically receives updates on our risk and sustainability performance, no less than annually. It also oversees the company’s ERM process, which will involve periodic risk assessments covering both ethical and physical risks and the evaluation and management of critical risks and opportunities to the business. During the annual ERM process, we annually review with members of the CSR Steering Committee and management the potential risks, formally document and assess those risks, and, as needed, put mitigation efforts in place. Averitt Executives developed and adopted a policy that integrates social and environmental risk assessment into our Enterprise Risk Management (ERM).

Compensation, Profit Sharing, and Benefits We are dedicated to offering top-tier compensation and conduct annual wage surveys to ensure we remain competitive in the communities we serve. Averitt pays all associates at least 240% above the federal minimum wage in every location we operate – and 100% of our associates earn above local minimum wages. We regularly review and adjust compensation to ensure fairness across roles and to reward the contributions of every associate. We also share our success through a company-wide Profit Sharing program, which allocates 20% of our profits back to associates through their auto-enrolled 401(k)s. This initiative not only rewards teamwork but also reinforces a sense of ownership among associates. We provide a wide range of benefits to our associates, including health insurance, life insurance, disability coverage, bereavement leave, paid time off, 401(k) contributions, Red Thinkin’ Rewards, and other team rewards. Open Communication and Engagement Effective communication is a cornerstone of our leadership approach. Through our Open Door Policy, associates are encouraged to share ideas and feedback directly with leadership. Our Driver Advisory Council, Feedback Channels, and other input forums help ensure transparency and continuous improvement. In 2024, 100% of associates were invited to participate in feedback efforts, and more than 65% engaged in person or virtually. Road drivers, our largest workforce group, participate in monthly calls with our Driver Services Team. Communication channels range from mobile apps and confidential tools like Averitt Open Line to local meetings and one-on-one conversations. Safety, Professionalism, and Training We place a high priority on safety and professionalism, recognizing these are critical to the well-being of our associates and to operational success. We invest heavily in comprehensive safety training to equip associates with the skills they need to perform their duties effectively. Career Planning and Training In 2024, 13% of associates advanced through promotions or transfers – a reflection of our ongoing investment in internal development. Every new full-time associate receives orientation and job-specific training, and all associates are regularly coached and supported in growing into new opportunities. All associates have a customized training and development plan, as well as opportunities to participate in Leadership Development programs. Ethical Standards and Values Guided by a strong ethical foundation, we uphold integrity, respect, and accountability in everything we do. These principles inform daily interactions and strategic decisions alike. By maintaining high standards, we build trust with our associates, customers, and communities – and reinforce our reputation as a responsible and reliable leader in the industry. 100% of our policies and suppliers are required to adhere to our Code of Conduct, Environmental Policy, and Labor and Human Rights Policy.

We offer robust medical, vision, and dental coverage to ensure that our team has access to necessary health care services. In addition, our benefits package includes prescription drug coverage, 24/7 telemedicine services, and a comprehensive Associate Assistance Program offering mental health services, family counseling, and financial wellness support. Our Wellness Program is available to all associates, providing services such as preventive care, chronic condition management, and behavioral health support. Associates can also access hearing care, hearing aids, and nicotine cessation programs to promote overall well-being. To support ongoing health needs, we also offer virtual physical therapy at no cost, ensuring our team can receive care wherever they are. We understand that financial stability is key to overall wellness, which is why we provide benefits like profit sharing, company-paid life and disability insurance, flexible spending accounts, and health savings accounts. These options help associates manage their retirement health and dependent care expenses with ease.

OUR DRIVING CONCERN IS SAFETY

We track safe driving performance using a range of indicators, with a strong focus on both driver quality and equipment standards. Preventable accidents are measured by total incidents per million miles driven, and performance is continually benchmarked against Averitt’s long-standing safety record. Driver logs and motorist reports are also regularly reviewed to support coaching and continuous improvement. New Averitt drivers complete several days of onboarding, covering safe driving techniques, equipment operation, hours-of-service rules, seat belt usage, and accident procedures. We also offer an intensive backing and turning program – a level of hands-on training that sets us apart from most carriers. Ongoing safety training includes OSHA, FMCSA, and other compliance programs, delivered through online formats, in-person sessions locally, and at our Driver Development Centers. To reinforce accountability, Averitt uses a Safety Points System that rewards drivers for training participation and deducts points for incidents. This system makes it easy for drivers to request additional training when needed and helps ensure that safety remains top of mind – every mile, every day.

In addition to driver training, we continuously upgrade our fleet with the latest safety technologies, such as collision-avoidance systems, anti-jackknife systems, forward- facing event recorders, rollover stability systems, lane departure warnings, and more.

But our commitment to safety extends well beyond the drivers and their vehicles. Our “Think Twice, Think Safe” program reinforces our commitment to safety by issuing monthly safety-related messages throughout the company. These messages, delivered via internal newsletters, posters, and other communications, cover a range of safety initiatives, ensuring that safety remains top of mind for all associates. Through these and other comprehensive safety measures, we maintain one of the country’s safest fleets, as we continually strive to protect our associates and the communities we serve.

This team – which represents nearly 20% of our workforce – covers every role in the company: drivers, dock associates, mechanics, customer service specialists, leadership, and more. OUR ETHICAL STANDARDS

Averitt is committed to ethical business practices and to maintaining a workplace where integrity and respect are foundational. Our Code of Ethics and Business Conduct prohibits corruption, bribery, fraud, money laundering, and anti-competitive practices. This code – together with our Conflicts of Interest Policy – is acknowledged by all associates and reinforced through regular training. We also take steps to ensure our external partnerships align with our values. Through a sustainability survey and by incorporating Averitt’s Vendor Code of Conduct and human rights standards into our contracts – including recently executed agreements with major vendors – we work to ensure our supply chain reflects the same environmental and ethical commitments we uphold internally. To further protect our people and resources, our Profit Protection and Fraud Prevention Policy outlines a clear, zero-tolerance approach to fraud, theft, and corruption. Associates and vendors have access to a confidential, 24/7 toll-free hotline for reporting violations, with the possibility of a reward for verified reports. Ultimately, our policies reflect a deep commitment to transparency, accountability, and trust – both within our walls and across our partnerships. Through ongoing training and open communication channels, we foster a workplace where everyone feels safe, supported, and empowered to do the right thing.

Averitt has been at the forefront of sustainable transportation initiatives for decades. In 2004, when the Environmental Protection Agency (EPA) established SmartWay – a program designed to reduce transportation-related emissions and improve supply chain efficiency –

we were proud to be a founding partner. As one of only 52 original members, we committed to meeting specific environmental and energy-saving goals while transparently reporting our progress annually to the EPA. Through our ongoing participation in SmartWay, we have established a systematic approach to reducing emissions and conserving fuel across our operations. Since 2004, Averitt has reduced carbon dioxide equivalent emissions by 36% and decreased nitrogen oxide emissions by 84%. Our enduring SmartWay partnership demonstrates our steadfast dedication to seeking out and implementing eco-friendly logistics solutions that minimize our environmental impact. For the first time, Averitt evaluated its Scope 3 emissions in 2025. We conducted a screening of the 15 Scope 3 categories according to the GHG Protocol to identify those that are material to Averitt. The screening determined that Categories 1-7 are material to Averitt while Categories 8-15 are not. The Averitt CSR Steering Committee reviewed the results and decided to perform its first partial Scope 3 inventory of emissions by starting with a complete inventory of three material categories: Fuel, Business Travel, and Associate Commuting. RESPONSIBLE PROCUREMENT AND PARTNERSHIPS

Our commitment to sustainability extends beyond our own operations to encompass our entire supply chain. We recognize that responsible procurement and fostering strong partnerships are critical to driving positive change and achieving our sustainability goals. In 2025, we conducted a comprehensive survey of our vendors and suppliers, engaging 29 companies across three key categories: Purchasing, Equipment, and Technology. The response rate was overwhelmingly positive, with 26 out of 29 vendors participating. This high level of engagement underscores the shared commitment of our partners to sustainability and ethical business practices. Our survey aimed to gather detailed insights into the sustainability practices of our vendors. We assessed various aspects, including their environmental impact, resource conservation efforts, and adherence to ethical standards. The results have provided us with valuable data that will inform our ongoing efforts to improve our supply chain’s sustainability. We believe in transparency and continuous improvement – and we’re committed to working closely with our vendors to ensure they align with our sustainability objectives.

For the 2024 reporting year, Averitt prioritized direct engagement with its top three supply chain categories on environmental standards, representing nearly one-third (32%) of our total annual procurement. Nearly 100% of our vehicle manufacturers, parts and fuel suppliers, and general technology suppliers responded to a survey on their environmental practices. *Averitt’s current GHG strategy emphasizes fleet efficiency, renewable fuels, and ongoing testing of alternative fuel vehicles to reduce the total volume of fuel consumed, the largest source of GHG emissions in Averitt’s operations. The strategy includes a commitment to using the newest equipment (avg. Class 8 tractor age of three years), fleet-wide use of aerodynamic equipment, efficient driver training, route optimization (potential 30% reduction in pickup and delivery miles), idle reduction (automatic shutoff after three minutes), and a robust maintenance program that includes automatic regular filter and oil changes and tire inflation, both of which contribute to lower fuel consumption. **Averitt has a comprehensive strategy for driver and associate health and safety with industry-leading results. The strategy includes support for driver health, including personal medical health benefits with wellness incentives, a free sleep apnea program for associates, extensive safety training for drivers, safety surveillance programs to maintain driver health & wellness, an associate assistance program to support behavioral health issues, continuous training to support a safe workplace, and modified duties for associates recovering from a work injury. ***SASB Road Transportation guidance does not require inclusion of Scope 2 emissions. Cybersecurity/Data Security Averitt’s Cybersecurity Policy outlines a comprehensive strategy and management practices that maintain the security of personally identifiable information from our associates, customers, and suppliers. Our policy calls for direct engagement and disclosure with the parties and Averitt business partners whose information is part of any data breach on remedies and to correct any vulnerabilities that may be identified via an incident. To protect the integrity of our cybersecurity strategy and sensitivity of individual information, we do not publicly disclose the details of our strategy or any information on specific data breaches. Anti-Competitive Bargaining Averitt’s Code of Ethics and Business Conduct prohibits corruption, bribery, fraud, money laundering, and anti-competitive practices. The Averitt Profit Protection and Fraud Prevention Policy outlines zero tolerance for fraud, theft, or corruption and provides a toll-free number for reporting possible violations. Individuals who report violations may be eligible for a reward for providing information. Corruption Averitt’s ERM process includes an enterprise-wide and site-specific evaluation of the following sustainability risks that are material to its business based on a 2024 Materiality Assessment. Corruption, Bribery, and Fraud has been recognized as one of the material topics and is integrated in the Enterprise Risk Management policy. 100% of Averitt’s sites are assessed for corruption and bribery risks.
