MANAGEMENT OVERSIGHT OF ESG Our comprehensive, top-down approach to ESG is supported by the Sustainability Committee, led by the SVP, Director of Energy & Sustainability and Director of ESG, and executed by the property management teams across our portfolio. The Sustainability Committee meets quarterly and the standing members include our Chairman, President, and Chief Executive Officer, Chief Financial Officer, Director of Property, Director of Leasing, property construction and operating executives, and members of the legal and investor relations teams. The committee’s agenda has evolved over time to reflect our company’s proactive leadership and commitment to results.

As the COVID-19 pandemic has evolved, the Board of Directors has received frequent updates on the impact to the Company’s employees, operations, and tenants and has reviewed with management the various measures to protect the health and safety of our employees and tenants.

RISK MANAGEMENT Objective

Maintain an effective risk oversight process to enable the Board of Directors to monitor, evaluate and take action with respect to the company’s most important business risks. How We Get There Management reporting of key enterprise risks to the Board of Directors and its committees on a regular basis and distribution of oversight among the Board of Directors and its committees to ensure that appropriate time and attention is devoted to each risk. Oversight While the Senior Management Team is responsible for the day-to-day management of enterprise risks, the Board of Directors plays an active role in overseeing management’s processes and controls to address the company’s risks.
