3. Members Meetings.

3.1 Notice of Meetings. The Association shall give all Owners and Members actual notice of all membership meetings, which shall be mailed, delivered, or electronically transmitted not less than 10 days prior to the meeting. Evidence ofcompliance with this 10-day notice shall be made by an affidavit executed by the person providing the notice and filed upon execution among the official records of the Association. In addition to mailing, delivering, or electronically transmitting the notice of any meeting,the Association may, by reasonable Rules and Regulations, adopt a procedure for conspicuously posting and repeatedly broadcasting the notice and the agenda on a closed-circuit cable television system serving the Community. When broadcast notice is provided, the notice and agenda must be broadcast in a manner and for a sufficient continuous length of time so as to allow an average reader to observe the notice and read and comprehend the entire content ofthe notice and the agenda. 3.2 Right to Speak. Members and Owners have the right to attend all membership meetings and to speak at any meeting with reference to all items opened for discussion or included on the agenda. A Member and an Owner shall have the right to speak for at least 3 minutes on any item; provided, however,that the Association may adopt written Rules and Regulations governing the frequency, duration, and other manner of Member and Owner statements, which Rules and Regulations may include a sign-up sheet for Members wishing to speak. 3.3 Election of Directors. After the Turnover:(a) voting by secret ballot by Members who are not in attendance at a meeting ofthe Members for the election of Directors shall not be permitted;(b)candidates to the Board may be nominated in advance ofthe meeting at which the subject Director is to be elected; and(c)Directors must be elected by a plurality of the votes cast by eligible voters. 3.4 Waivers ofNotice. Notice of,a meeting of Members need not be given to any Member who signs a waiver of notice, in person or by proxy, either before or after the meeting. Neither the affairs transacted nor the purpose of the meeting need be specified in the waiver. Attendance ofa Member at a meeting,either in person or by proxy,constitutes waiver of notice and waiver of any and all objections to the place ofthe Meeting,the time ofthe Meeting, or the manner in which it has been called or convened, unless the Member attends a meeting solely for the purpose of stating, at the beginning of the Meeting, any such objection or objections to the transaction ofaffairs.

3.5 Order ofBusiness. The order ofbusiness at annual meetings,and as far as

practicable at all other meetings,shall be:

(a) Calling ofthe roll and certifying ofproxies.

(b) Proofofnotice ofmeeting or waivers ofnotice.

(c) Reading and disposal ofany unapproved minutes.

(d) Reports ofOfficers.
