CWUP 1-60-070 Officers of the Board (2) Election of Chair and Vice Chair. The board of trustees shall elect the chair and vice chair. The chair and vice chair shall be elected annually at the summer retreat of the board of trustees, and shall hold office for one year or until their successors are elected. In the event of an interim vacancy in the office of chair or vice chair, successors may be elected to hold office for the unexpired term. Board Committee Meetings : CWUP 1-60-080 (Constitution, Powers and Duties of Officers) articulates an expectation that minutes will be kept of the meetings of the committees of the board. Until 2009, the board used committees to develop policy, which then would be brought to the full board for action. Now, committees are used to brief members on content that will be covered in upcoming meetings. No board committee approaches a quorum of the board, with no more than three members on each committee.

• Recommendation: Revise the board constitution to remove references to minutes of the meetings of board committees.

CWUP 1-60-080 Powers and Duties of Officers (2) The Secretary to the Board of Trustees. The secretary to the board of trustees shall give public notice of all meetings of the board of trustees and all meetings of committees of the board of trustees. The secretary shall ensure that minutes are kept of the proceedings of the board of trustees, and the proceedings of all committees.
