USE OF COMPANY EQUIPMENT AND INTERNET

ELECTRONIC COMMUNICATIONS POLICY Purpose

Like thousands of others, the Company and its employees desire to strike the appropriate balance between technology, an employee’s right to privacy, and the Company’s interests in protecting its confidential information and preventing abuse of its system. This Voicemail/E-mail/Internet policy is intended to provide each employee of the Company with the guidelines associated with the use of the company’s Voicemail/E-mail/Internet system (“the system”). Scope Harrell’s electronic communications policy applies to all employees, contractors, vendors, partners, associates, and others accessing and using the Company’s system through on-site or remote terminals. This policy is intended to ensure that employees utilize computers, cell phones, and all other electronic devices legally, ethically, and appropriately. This policy extends, by way of example only, to all features of the company’s electronic communications systems, including but not limited to computers, e-mail, handheld communications devices, Global Positioning Service (“GPS”) devices, connections to the Internet and other internal or external networks, voice mail, email, texts, video conferencing, facsimiles, and telephones (“electronic devices,” collectively). Any other form of electronic communication or recordkeeping device used by employees currently or in the future is also intended to be encompassed under this policy. Every Harrell’s employee is subject to this policy and is expected to comply fully with its provisions. Given the rapid evolution of technology, it is impossible to identify every standard and rule applicable to the use of electronic devices. Employees must, therefore, exercise sound judgment when using any communications system feature. In that regard, the following principles and standards should be clearly understood and followed: General Provisions • The Electronic Communications system and all data transmitted or received through the system are the Company’s exclusive property. They always remain the sole property of Harrell’s, regardless of whether they are used on or off company property. • Employees have no right to privacy or confidentiality regarding any information stored on an electronic device, regardless of the device itself or the type of information. Harrell’s expressly reserves the right to access any and all information on these devices at any time and without notice. Harrell’s retains the right to gain access to any information received by, transmitted by, or stored in any electronic device, by and through its agents, employees, or representatives, at any time, either with or without an employee’s or third party’s knowledge, consent, or approval. Access to information stored on electronic devices may also be provided to third parties authorized solely by Harrell’s without the employee’s knowledge, consent, or approval. By way of example only, such authorized third parties may include internet or cellular phone service providers, providers of GPS and other telematics systems, and other third parties involved in the process of transmitting, recording, repairing, storing, or otherwise servicing electronic data. • Harrell’s may require employees to surrender any and all electronic devices immediately at any time and without notice. Harrell’s may also deactivate these devices remotely anytime and without notice.
