BACKGROUND
Essentia Trading Limited (ETL) is a specialist consultancy that helps public and private sector organisations maximise the value of their built assets, making them more efficient, connected and ready to embrace the future. In 2013, ETL was launched as a wholly owned subsidiary of Guy’s and St Thomas’ NHS Foun- dation Trust (GSST). The company has over 80 consultants across London, Oxfordshire and East Anglia. We help clients to transform their built environment to meet both short and long-term objectives. We offer an integrated team covering programme, project and cost management, property consultancy, health care planning, sustainability and technology. This combined expertise has helped our clients achieve their goals, ranging from improving value and eliminating inefficiency, to re-designing services and developing innovative new facilities. We have the capacity to work on complex strategic investment programmes across sites and organisations as well as stand-alone projects or commissions. ETL has the capability to deliver outstanding results; developing a strategy to increase capacity, optimising capital investment, improving operational efficiency or reducing risk. ESSENTIA TRADING AT A GLANCE
• ETL is a wholly owned subsidiary of GST Enterprises (GSTE) who manages some of GSTT’s business interests. • Established in 2013, ETL was launched as the commercial arm of Essentia, the in-house directorate that provides GSTT with hard and soft facilities services. • Since its inception, ETL has progressed to providing broader management consultancy services and the vast majority of employees have been recruited from the commercial sector.
• ETL is not tied to the NHS remuneration structure.
• Turnover of £7.1m 2017/18 with an anticipated turnover for 2018/19 of £9m.
• 70% of ETL’s business is with NHS organisations although the Science and Higher Education sectors have seen significant growth.
• 13% of revenue is derived internationally
• Future growth areas include energy efficiency initiatives across both public and private sectors.
Role summary
The NED will provide specific commercial support to the Company, support in ensuring the Company is effective in implementing its three-year plan, ensuring the effective governance of ETL and providing an independent perspective to the Board.
• Attend the monthly board meetings, additional one-off meetings on strategy
• Attend any interviews in connection with the appointment of Executive Directors.
• Attend occasional meetings with the Executive Directors of the company.
• The right candidate would also be expected to utilise their professional network to introduce business opportunities to the company. • The individual is expected to commit on average two days per month, for an initial 3-year tenure with the option to renew for a further 3.

• Provide commercial consultancy expertise into the ETL Board.
• Bring personal qualities, experience and expertise and knowledge to advise the board and promote the success of ETL.
• Bring a different perspective to the Company from a wide view of the external environment via access to established commercial networks and opportunities. • Advise on the most appropriate Executive Director structure for the company and, in particular, assist in the recruitment of a permanent Chief Executive Officer.
• Ensure that the Company’s obligations to Enterprises and to GSTT as the ultimate parent are understood and met.
• Challenge and contribute to the development of ETL’s strategy and in particular advise on the most appropriate growth strategy for the company to pursue.
• Provide input into determining the most appropriate future relationship for ETL to have with GSTT.
• Assist in determining the most effective brand and future market position for ETL.
• Contribute to the entrepreneurial leadership within a framework of prudent and effective controls, which enable risk to be assessed and managed.
• Scrutinise the performance of ETL management in meeting agreed goals and objectives and monitor the reporting of performance.
• Provide challenge to executive proposals and recommendations.
• Ensure that financial information is accurate, and that financial controls and systems of risk management are robust and defensible.
• Ensure that the necessary financial and human resources are in place for the Company to meet its objectives.
• Help to connect the board and the company to appropriate external networks and organisations to support the business objectives.
• Engage the Board in assessing and improving its performance and acting on the results of board performance evaluation by recognising the strengths and addressing the weaknesses of the board.

Person Specification
• A track record in the consultancy sector, with preferred knowledge of working with Healthcare, Science and Higher Education clients or the wider public sector within the UK and Internationally. • Experience at an executive level of building a successful consultancy business with a consistent track record of growth.
• An appreciation of the factors involved in managing and growing a people business.
• Previous Non-Executive Director experience preferred.
• Successful experience in marketing the services of a consultancy company.
• Previous experience in appointing Executive Directors to consultancy companies.
