CENTRAL WASHINGTON UNIVERSITY Board of Trustees February 17, 2023 ACTION – Appointment of Secretary to the Board
CWUP 1-60-070 articulates officers of the Board of Trustees, including the Secretary to the Board, who “shall provide administrative support to the board and who shall hold office at the pleasure of the board.” The bylaws of the board, in 1-70-030(1) articulate the duties of the board secretary to include: • assist all committees of the board • certify to any action of the board of trustees or its committees • cause to be filed or recorded in appropriate offices of public record actions of the board • execute proxies, sign receipts and acknowledgements, and notices and declarations • respond on behalf of the board to all correspondence and initiate and send correspondence on behalf of the board. Historically, the Chief of Staff position has been appointed as Secretary to the Board. However, with Dr. Morse, Chief of Staff, taking on the additional role of Interim Vice President for Public Affairs, I would like to officially appoint Dania Cochran as Secretary to the Board of Trustees. Dr. Cochran, Executive Office and Project Manager, has been serving as the Secretary to the Board on an interim basis for several months.
We propose the following motion:
The Board of Trustees of Central Washington University hereby approves appointment of Dania Cochran as Secretary to the Board of Trustees, this 17 th day of February 2023.
