POLICIES

When driving a motor vehicle on Company business, Team Members are prohibited from texting and should minimize their use of any mobile telephone or portable communication device. If you must make or receive a call while driving, then you should keep your conversation as short as possible and must comply with the following safety guidelines: (1) use a speaker phone or hands-free device whenever one is available; (2) never look up or dial a number while the vehicle is moving; (3) do not use the mobile telephone or portable communication device in heavy traffic or bad weather; (4) keep your eyes on the road at all times; and (5) comply with all applicable laws. In addition to these requirements, Team Members must comply with all federal, state, and local laws regarding the operation of motor vehicles, including those governing texting and the use of mobile telephones and portable communication devices while driving. NOTE: Team Members should understand that nothing in this Policy or any other Company policy should be interpreted in a manner that unlawfully prohibits the right of Team Members to engage in protected concerted activity or otherwise interfere with the rights of employees to discuss or share information related to their wages, hours or other terms and conditions of employment under the NLRA. The Company respects the Section 7 rights of Team Members and has and always will comply fully with its obligations under the NLRA, and the Company emphasizes that this Policy does not intend to cover conduct engaged in by Team Members that is protected by the NLRA. Data Classification Policy The Data Classification Policy is intended to help Team Members determine what information can be disclosed to non- Team Members, as well as the relative sensitivity of information that should not be disclosed outside of Asbury without proper authorization or procedures. All Asbury information is categorized into three buckets: • Asbury Public Information • Asbury Public Information is information that has been declared public knowledge by someone with the authority to do so and can freely be given to anyone without any possible damage to Asbury. • Asbury Confidential Information • All information that is not Asbury Public Information is considered Asbury Confidential Information. It is a continuum; in that it is understood that some information is more sensitive than others and requires greater protection and security. Examples of Asbury Confidential Information that require greater protection and security includes: Guest data, bank accounts, trade secrets, development programs, potential acquisition targets, and other information integral to the success of Asbury. Examples of Asbury Confidential Information that are considered less critical include internal telephone directories, general corporate information, etc., which does not require as stringent a degree of protection. This is not meant to include information pertaining to a Team Member’s wages, hours or working conditions. • Asbury Third-Party Confidential Information • Includes Confidential Information belonging or pertaining to another corporation which has been entrusted to Asbury by that Company under non-disclosure agreements (“NDA”) and other contracts. Examples of this type of information includes everything from joint development efforts to vendor lists, Guest orders, pricing, and supplier information. Information in this category ranges from extremely sensitive to information about Asbury’s engagement of such vendor or supplier.

40 No policy should be construed to confer any express or implied contractual relationship or rights to any Team Member. The Company reserves the right to modify any policy as necessary, in its sole discretion, to the extent permitted by law. Violation of any Company policies or procedures can result in disciplinary action up to and including termination of employment.
