POLICIES

Social Media Policy This policy relates to social media, which generally consists of online tools that people use to share content, profiles, opinion, insights, experiences, perspectives, and media to facilitate conversation and interaction between groups of people. These tools include blogs, message boards, podcasts, micro blogs, live streams, bookmarks, networks, apps and communities. Examples of some of the media utilized include, but are not limited to, Facebook, X (formerly known as Twitter), TikTok, YouTube, LinkedIn, Instagram, Snapchat, etc. The Company respects the rights of its Team Members to use social media. However, because communications by Team Members on social media could, in certain situations, negatively impact business operations or create legal liability, it is necessary for the Company to provide these guidelines. These guidelines are intended to ensure Team Members understand the types of conduct that are prohibited. Team Members should know that the Company has the right to and will monitor the use of its information technology, telephone, and other equipment and systems, as well as any publicly accessible social media. Team Members should expect that any information created, transmitted, downloaded, exchanged, or discussed on publicly accessible online social media may be accessed by the Company at any time without prior notice.

Violation of our Social Media Policy may result in disciplinary action, up to and including termination.

The Company’s social media policy does not limit the right of Team Members to engage in protected concerted activity or otherwise interfere with the rights of employees to discuss or share information related to their wages, hours or other terms and conditions of employment under Section 7 of the National Labor Relations Act and nothing in this policy should be construed in such a manner. The Company’s desire is to create an environment where Team Members are comfortable exercising their Section 7 rights and do not construe its employment policies in a manner that would violate those rights. If a Team Member has a question as to the scope of this policy, that Team Member is encouraged to talk to the Human Resources Department in order to clarify any potential confusion. Confidentiali y As a public Company, we enforce strict guidelines about nonpublic information. All Team Members are prohibited from disclosing or discussing any of the Company’s confidential or proprietary information, trade secrets, or any information regarding the Company’s clients or business partners, or details of a particular client engagement, in any Online Social Networking and Blogging Activities. Examples of Confidential Information include: • Financial performance of the Company or its dealerships, especially prior to public release of earnings, • Information from QlikSense, the DMS, internal reports, draft financial reports, budgets, nonpublic performance metrics, etc. are confidential, • Plans to acquire, sell or relocate a dealership, • Plans to hire, begin, change or discontinue a relationship with a manufacturer, vendor, or lending partner, • Personnel decisions (hiring or departures) that have not been made public, • Personal information about a prospective or past Guest, • Purchase and service histories, • Inventory lists, • Vehicle invoices, • Contracts, • Marketing strategies or plans.

64 No policy should be construed to confer any express or implied contractual relationship or rights to any Team Member. The Company reserves the right to modify any policy as necessary, in its sole discretion, to the extent permitted by law. Violation of any Company policies or procedures can result in disciplinary action up to and including termination of employment.
