Article 9 Construction, Alteration, and Maintenance; Agreements
Section 9.1 Construction, Alteration, and Maintenance . No improvement, excavation, or work which in any way alters any portion of the Club Facilities, or the exterior of any structure or other improvement thereon shall be made or done except with the prior written consent of the Board. No person other than the Board or its duly authorized agents shall perform any work with respect to the Club Facilities. Section 9.1.1 Contracts for New Construction . The Board may approve and contract for Capital Improvements, limited to $325,000 per project. Capital Improvements exceeding the foregoing will require approval of the majority of votes cast by the Equity Members who vote on such question. Section 9.1.2 Maintenance by the Club . The Board is authorized to approve and contract repairs and replacements to the Club’s then -existing facilities or assets. Notwithstanding any limitation on the Board’s authority, the Board may authorize extraordinary repairs or replacements, which are repairs or replacements that result from acts of God, natural disasters, weather, fires, pestilence, requirements imposed by governmental authorities after the date hereof and any events beyond the reasonable control of the Club, because the Board has a fiduciary duty to address extraordinary repairs as required by the exigent circumstances. In addition, the Board may: Perform any work (to the extent that such work is not done by a governmental entity) in accordance with the original design, finish or standard of construction of any such improvement or property. (a)

Perform all necessary maintenance and repair of existing Club
Facilities and replace equipment;
(c)
Construct, replace or refinish any road improvement or surface used
as a road, street, walk, driveway, cart path or parking area;
(d) Replace injured and diseased trees or other vegetation, and plant or remove trees, shrubs, grass, and ground cover to the extent the Board may deem desirable for the conservation of water and soil and for aesthetic purposes; and
(e)
Place and maintain such signs as the Board may deem appropriate
for the proper identification, use and regulation of the Club Facilities.
Section 9.2 Agreements . The Board is authorized herby to enter into agreements and undertake appropriate actions for reasonable access to and from and maintenance of the Club Facilities, and for other purposes as determined by the Board, including, without limitation, reciprocal easement agreements, annexation into maintenance community service and/or other quasi- governmental districts and agreements to property adjoining the Club Facilities.
