came either from the Chair of the BOT or from the Executive Committee of the BOT and not from noticed, public meetings. BOT meeting minutes from the July 2025 meeting 7 and the October 2025 meeting agenda do not indicate that such a directive was discussed or approved during a public BOT meeting. At the July 2025 meeting, the Board approved a directive to consider “ all administrative, staff, faculty, and student practices, policies, and procedures, as well as writing new documents based on what is stated in the shared governance document. ” The meeting minutes do not reference the Faculty Code specifically, nor do they describe a mandate to rewrite the Faculty Code using a committee of three faculty and three administrators outside of the Faculty Senate process. Similarly, the purported directive to delegate final approval of the Faculty Code from the Board to the President 8 was never approved in a public BOT meeting. Under RCW 42.30.060, 9 actions taken outside of noticed public meetings do not carry legal effect. Further, CWU 106-03 10 requires policy approval to occur in meetings with public notice and only formally with a majority vote of the Board.
FSEC Clarification on justification point II (page 4 of document)
• Petition Language: President Wohlpart has persistently used his energy to reduce meaningful faculty participation in the governance of the institution. For example, he has severely limited the direct line of communication between faculty and the BOT and insisted on administrative involvement in all faculty leadership communication with the BOT. FSEC Clarification: For well over a decade, the FSEC has met individually with a handful of BOT members on a quarterly basis, scheduled to coincide with public BOT meetings. Without notification, there was no scheduled meeting between the FSEC and the BOT in Summer 2025. Over the past five years, these meetings have typically been private, consisting solely of the FSEC and select BOT members. Beginning in Fall 2025, without explanation, this long-running precedent was broken as the Provost began sitting in on FSEC-BOT meetings. When the FSEC requested an explanation for this change, we were told it was intended to build trust. When the FSEC asked for a reversion to the long- standing practice of only FSEC and BOT members, the request was denied. 11
For our upcoming quarterly meeting with the BOT in February 2026, the FSEC has been given a preset agenda that does not allocate any time for the FSEC to ask questions or
