One of the top priorities of the Yusen Logistics Group, including Yusen Logistics UK, is to establish an effective group compliance system in order to remain a company that is trusted by customers worldwide through its services. Yusen Logistics is built on the activities of its colleagues on a daily basis, and its greatest asset is their knowledge and experience. We believe it is important for our colleagues to understand the importance of compliance and to act in accordance with laws and ethics, as well as to maintain trust and to enable our colleagues to fulfil their potential to the fullest. We have an established Code of Conduct, which outlines the corporate ethical guidelines to be observed in the conduct of our corporate activities and daily operations. We are convinced that only by complying with this Code can we provide excellent service and gain the trust of our customers.
On corporate governance, we are a wholly-owned subsidiary of Yusen Logistics (Europe) B.V., the European Group's controlling company based in the Netherlands, with three statutory directors from the company and four from Yusen Logistics UK, as required by the UK Companies Act 2005. The quarterly statutory board meetings are mainly responsible for approving the business strategy and plans developed by the executive board, the annual budget plan and the risk governance framework, appointing external auditors and monitoring compliance and risk assessment, including H&S. Below the statutory Board, there is an Executive Committee (Company Executive Committee - CEC) comprising eight directors, with CEC Board Meetings held monthly. All operational and commercial decisions for our UK business are made by CEC and are ultimately decided by the statutory directors. The CEC also takes decisions on business strategy, annual budgeting, policy and procedure development and other approval matters.
