Audit Committee report

Role and responsibilities

The full responsibilities of the Audit Committee are set out in its Terms of Reference, which are reviewed annually and are available on the Group’s website. Composition and meetings During the year, the Audit Committee comprised James Rawlingson (Chair), along with Robert Burgess, Dagmar Kershaw and John Linwood. The CEO, Chief Financial Officer, Chief Risk Officer, and representatives of the internal and external auditors routinely attend meetings. Maarten Slendebroek, Chair of the Group also attended meetings following his appointment as a Non-Executive Director on 27 November 2023, but is not a member of the Committee. The Committee meets with representatives of the internal and external auditors without management present at least once a year. The Company believes that the Audit Committee as a whole possesses recent and relevant financial experience, and overall competence relevant to the sector in which the Company operates. The Audit Committee’s attendance during the year ended 30 June 2024 is set out in the summary table on page 68.

As Chair of the Audit Committee, I am pleased to present the Committee’s report for the year ended 30 June 2024. The report provides insight into our work over the year, and details how we have discharged the responsibilities delegated to us by the Board. The Audit Committee assists the Board in meeting its responsibilities for the integrity of the Group’s internal financial controls and its financial reporting. The Audit Committee’s responsibilities can be grouped into the following aspects: • To review and challenge the Group’s accounting policies and significant judgement areas and the integrity of its financial reporting; • To provide oversight and monitoring of the internal and external audit functions, including appraising their performance and approving their fees; and • To keep under review the adequacy and effectiveness of the Group’s internal financial controls; periodically receiving confirmation from the Risk and Compliance Committee that they have reviewed the
