Principle 2 The Structure of the Board and its Committees
Board Structure & Size Trimetys Ltd had a unitary Board of 5Directors, all residing in Mauritius, including 2 Executive Directors, 2 Non-Executive Directors and 1 Independent Non-Executive Director as at 31 December 2020.
Mr Ganeshanlall Cheeneebashwas appointedon 26May 2021 as Non-Independent Non-Executive Director on the Board of the Company as a representative of the State Investment Corporation Limited. The Board has ensured that its members have a mixed set of skills, experience and are characterised by their profes- sional abilities, integrity and independence of opinion. The appointment of another Independent Director is inprogress.

Board Committees Until the current financial year, audit management issues were handled by the Board. However, to better align with the recommendations of the Code, the Board is currently working on setting up an Audit Committee. Board Meetings & Attendance The general policy is to hold at least two Board meetings annually. However, additional meetings are convened from time to time, as and when required. For the year under review, the Board held three sittings on 2 September 2020, 18 September 2020 and 22 Dece ber 2020 respectively.
All Executive Directors, Non-Executive Directors and the Independent Non-Executive Director attended the Board meetings. Role & Function of the Managing Director & Group Chief Executive Officer Mr Georges Talbotier, theManagingDirector andGroupChief Executive Officer, is in charge of the day-to-day affairs of the Group. Together with the other Executive Director, Mr Kian Jhuboo, and the senior management team, he works to implement the Board’s strategy and policy.
