Dear Trustees,
On behalf of Winston-Salem State University, congratulations on your appointment to the univer- sity’s Board of Trustees. We are pleased that you have accepted the responsibility to serve our amazing students, faculty, staff, alumni, and all the WSSU stakeholders. You are exactly who we need to engage in governance that will make a huge difference in our trajectory now and into the future. At WSSU, student success is at the forefront of everything we do. Our new strategic plan, WSSU 2030 Unleash the Genius, is our bold and audacious plan to put this university on the map as one of the best schools in the country. We offer a quality education provided by student-centered faculty in a caring and supportive atmosphere. Our students will have a life-changing college experience that builds essential skills, develops character, and prepares them for a lifetime of success. It is our hope that you will immerse yourself in the culture of WSSU. We want you to see firsthand why the university has been consistently ranked #1 in social mobility for the past several years. Greetings trustees! I am Letitia Wall, your Board Professional here at the university. My role is to assist with any questions or needs you may have during your tenure. The following information will aid you in navigating your board materials. Please don’t hesitate to reach out should you have any questions. INTRODUCTION: The Board of Trustees serves as advisor to the Board of Governors on matters pertaining to WSSU and serves as advisor to the Chancellor concerning the management and development of the institution. It is comprised of thirteen members with eight members elected by the UNC Board of Governors and four appointed by the General Assembly. The President of the Student Government Association serves an ex officio member. BOARD MEETINGS: Currently, full board meetings are held quarterly during March, June, September December, unless advance notice is given. The Board shall hold not fewer than three (3) regular meetings a year and may hold such additional meetings as may be deemed desirable. Meetings may be held in person, by con- ference telephone, or by electronic means that allow for real-time voice communication. All meetings of the Board shall be open to the public unless, consistent with the requirements of State law, a meeting is closed to the public by a motion duly made and adopted by the Board in an open meeting. Committee meetings will be held virtually the week of the full board meeting; and the full Board meeting will occur on the Friday proceeding committee meeting. Meetings are scheduled from 9am until about 12pm, unless otherwise shared. MEETING LOCATION: Full Board meetings are held in 100 Campus Hall in the Donald Julian Reaves Student Activities Center, unless otherwise stated. A light continental breakfast that includes coffee and juice is available for the duration of each full board meeting. OFFICERS: Kathleen Kelly currently serves as the WSSU board chair, the other executive officers include Trustee Bill Miller, Vice Chair and Brent Moore, Secretary. Drewry Nostitz serves as nominating committee chair.

GOVERNANCE: The UNC System is one of the most valuable public higher education systems in the country. North
Carolina introduced the nation to the concept of a public university, and the state continues to lead the way in the arena of higher educa- tion. In 1972, Winston-Salem State University became one of the 16 constituent institutions of the University of North Carolina, subject to the control of a Board of Governors. ETHICS: Trustees are required to complete a Statement of Economic Interest annually, by the specified deadline, and to complete ethics education every two years as prescribed by law. PER DIEM: The State of North Carolina Travel Policies and Regulation is intended to provide guidelines for the payment from state funds for travel and subsistence costs surrounding the attendance of state public officials at political functions or meetings. State officials, both elected and appointed, sometimes attend political functions or meetings; as a trustee, the university will pay for your travel expenses to board business in accordance with NC law, as it may be amended from time to time, in addition, you are eligible to receive a $15 per diem for meeting attendance. The per diem for attending a full board meeting is optional. If you choose to accept the per diem you will need to fill out a WSSU Foundation W9 form prior to receiving payment for reimbursement. However, the W9 form is REQUIRED to authorize any reimbursements issued to the Trustee on behalf of the WSSU Foundation. UPCOMING EVENTS: Please save the following dates.

Proceed through modules 1-4 at your own pace. These modules are designed to give you a high-level overview of Trustee Boards at public institutions, in general. Once you complete all of the modules, you will receive a certificate of completion from AGB. You will receive a separate link to complete module 5. Module 5 is specifically designed to provide you an overview of WSSU as you prepare for your first board meeting and the board retreat.

WSSU Board Materials PORTAL INSTRUCTIONS
Onboard is the board management system, which houses information and documents for upcoming meetings. You will receive an email to join the group from Onboard to the email account that we have on file. You will receive a notification from Onboard that will allow you to set up a password. Should you forget your login credentials for the account, please let Ms. Gilliard know and she will be able to send you a link to reset your information. This platform works in real time and allows for updates as needed. When information is updated and ready for viewing, Onboard will also provide notifications. Please take some time to familiarize yourself with Onboard, as it will be the main source for meeting material and board information. The software is intuitive and user-friendly. An app is also available for Apple devices that you may download from the App Store. It is very similar to using an iPad. For example, if text is bold or highlighted, then you can click it for more information. Please let me know if you need training and I will arrange to meet with you individually.

Since 2018, WSSU has emerged as more than “a teaching institution.” Because of the research activity of faculty and staff, WSSU has firmly established itself as a burgeoning research-intensive university. According to the national rankings on National Science Foundation Higher Education Research and Development (NCES, 2021), WSSU increased 143 spots from rank #537 in Fiscal Year 2019-20 to rank #394 in Fiscal Year 2020-21. In the state of North Carolina, WSSU moved up from rank #19 in Fiscal Year 2019 to rank #11 in Fiscal Year 2020 among North Carolina public and private institutions; moreover, WSSU’s sponsored research portfolio of extramurally funded awards has tripled since 2018.
