This is termed a shadow or deemed director with the same responsibilities and duties as an ASIC registered director. I presided over the company financials and manufacturing/production for over twenty years; for eight of those years the turnover was 3/4 million dollars. Your client did not appreciate that wages were $300,000 with overheads in the order of $300,000. Manufacturing is a challenging industry... ...The Applicant took no part or interest in my role and in later years, failed to carry out any more than the worst of the casual employees; in addition he sabotaged my business activities. After the disastrous outcome on the City of Ballarat rowing course debacle, your client never recovered his former 'working' life in the practical areas he excelled at. During January to June 2014 the company was paying wages to eight people for production of $500,000 of orders. Managing cash flow was challenging but on the 1st of July 2014, for the first time the Business Line Of Credit was paid off, the company had no debts and was owed $70,000 by the City Of Ballarat. We owned our factories in Lake Road, and my office in Victoria Place. Victoria Police REMOVED ME FROM OUR WORKPLACE ..After your client locked me out in 2014/15 (AND HAD Victoria Police REMOVE ME FROM OUR WORKPLACE) he employed people from his theatre group to do production and Simpson Personnel, being fully aware of his behaviour towards me, invoiced the applicant personally and not in the company name… ...Page 4 of 36 para 9.1 refers to the Partners Business Assets and Intellectual Property Purchase Agreement Jan 2016. This document explains in detail and in plain English the financial arrangements made whereby I undertook to pay the debts and liabilities of $500,000, created by your client in 2014/15 after he locked me out of my workplace, removed my authorised signature from the company bank accounts and prevented me from earning a living. He not only locked me out, but called police to have me removed from my workplace and the dwelling where our family life was conducted… ...Heinz Law have fostered his misunderstandings and pandered to his delusions. If your client had abided by these two agreements he would have been financially secure for life. On October 29th 2019 when you Adrian, offered to mediate and undertook to send me documents as listed in your email, it was clear that you had no understanding of your clients situation and that you did nothing to assure your client that the loan approval was in his best interests...($300,000 APPROVED LOAN) ...The applicant has no pecuniary interest in the company Smart Buoy Co Pty Ltd or even to Buoyage Systems Australia Pty Ltd. Documentary evidence shows that your client has interfered in both company's and continues do do so. He has orchestrated a campaign to take control over my assets, company assets owned jointly with my partner, and our privately owned assets. Heinz Law have aided and abetted in this campaign by manipulating my partner to provide false information to police The Magistrates Court, accountants, First Mortgage Investments, lawyers, business associates, and other entities both government and private.
