Maggie Marriott Smart Buoy Co Managing Director Your behaviour as Director is not consistent with duties set out in the corporations act and indeed your workplace behaviour is not acceptable and I will be submitting a report to Worksafe about your abusive behaviour towards me. I have already reported to the police. I needed help with moving and packing of the container — you did not assist me and ended up taking my personal stuff to the factory instead of allowing me to pack the items I wished to have in the container. Now you threaten to put my stuff into the factory yard. You packed the AGL Hydro job into the trailer preventing me from using that resource. And now you threaten to unload the trailer of the AGL Hydro delivery further adding to the wasted time on that job.Your abusive emails throughout the moving period and delayed the move, incurring expenses, and delayed the bookkeeping task. Your interference in my work has degraded the business operations and your insistence on operating illegally has placed the company at risk. General duties the Corporations Act imposes on directors and officers of companies include:the duty to exercise your powers and duties with the care and diligence that a reasonable person would have, which includes taking steps to ensure you are properly informed about the financial position of the company
and ensuring the company doesn’t trade if it is insolvent the duty to exercise your powers and duties in good faith in the best interests of the company and for a proper purpose the duty not to improperly use your position to gain an advantage for yourself or someone else, or to cause detriment to the company the duty not to improperly use information obtained through your position to gain an advantage for yourself or someone else, or to cause detriment to the company.
