The following Terms and Conditions apply to the supply of all Products from Moore & Giles to the Wholesale Customer from the date that these Terms and Conditions are accepted. These Terms and Conditions are accepted when: a) An Order is submitted; b) Delivery of, or any part of, an Order is accepted; or c) Payment, or partial Payment, is made for any Product(s) supplied by Moore & Giles. MinimumOrder Value For first-time Wholesale Customers of Moore & Giles, the recommended minimum order value is $2,500. How To Place Order Submit your Wholesale Order with a PO number by emailing contactus@mooreandgiles.com or by calling 1.800.737.0168. Suggested Retail Pricing Moore & Giles’ Products shall only be sold at the Manufacturer’s Suggested Retail Price (MSRP). Moore & Giles reserves the right to discontinue partnership if MRSP pricing is not maintained. Wholesale Pricing All prices are listed in US dollars. All authorized retailers will receive Moore & Giles wholesale pricing as detailed on the Wholesale Price List provided, plus the cost of shipping. Prices are subject to change without notice. There may, at times, be Products, including limited-edition Products or certain Product lines, which may not be available for wholesale purchase. Moore & Giles reserves the right to exclude certain Products or entire lines of Products from wholesale accessibility. Sales And Tax The Wholesale Customer must submit a tax exemption form, otherwise sales tax will be added to each order. The Wholesale Customer agrees that it is their sole responsibility to collect, report, and remit all taxes to the correct tax authority for all business transactions, sales, or revenue resulting from the sales of Moore & Giles’ Products. Payments Payment must be made in advance for the first order. 30-day net terms may be requested with credit application and must meet approval by Moore & Giles’ finance team. MasterCard, Visa, Discover, American Express, or checks are accepted. International payments must be made by wire transfer. Checks returned due to insufficient funds could be considered fraud and subject the check writer to prosecution and fines. Wholesale Customer will be charged for reimbursement of bank fees and other incurred costs. Shipping Shipping is not included in the cost of Products. On all orders, freight will be charged on each invoice. Shipping can be expedited (e.g. 2-day shipping, overnight, etc.), if needed, at the Wholesale Customer’s expense. Changes To Orders Because we work to process orders as quickly as possible, we are generally unable to make changes to an order once it’s been placed. If there is an urgent need, please reach out immediately, and we will confirm if updates can be made by emailing contactus@mooreandgiles.com or by calling 1.800.737.0168. Backorders Out-of-stock Products will be back-ordered and shown on the Sales Order. Moore & Giles will inform the Wholesale Customer at the time of Order any items that are on backorder. Back-ordered items will ship as available, unless otherwise specified. Delivery Window Please allow 48 hours for orders to ship out. Large orders or custom orders may incur additional processing time.

Returns To request a return, please email us with details of the Product(s) and reason(s) for return. Returns will be assessed on a case-by-case basis. If approved, the Wholesale Customer must obtain and include a Return Authorization number with the item. Shipping costs are the responsibility of the Wholesale Customer. Moore & Giles will not directly accept returns of Products sold through third-party websites. Damages And Defects Please inspect all shipments immediately upon arrival. Contact Moore & Giles at contactus@mooreandgiles.com within 5 days of receipt of damaged, defective, or incorrect shipments. Defective merchandise will be replaced with new merchandise. Defective merchandise will not be accepted if it is held for more than 15 days after receipt. Moore & Giles will cover the return shipping cost of damaged, defective, or incorrect shipments. We endeavor to protect your reputation and ours; if you or your customer finds an issue related to manufacturing defects during the first 30 days after sale, we will work with you to find a resolution. Web Commerce No products or goods purchased from or produced by Moore & Giles shall be resold by the Wholesale Customer through any location other than Wholesaler’s URL or physical store—including an online auction (e.g., eBay) or online store (e.g., Amazon)—without the express, written authority of Moore & Giles. If the Wholesale Customer resells via third-party website without prior approval, the relationship will be terminated. Wholesale Customers with an online presence should include: Moore & Giles Authorized Online Retailer. Drop Shipping is available to select Wholesale Customers on a case-by-case basis. While we will make every effort to maintain stock of products, Moore & Giles cannot guarantee inventory. Customer Service Moore & Giles is not responsible for customer service for third-party websites. The Wholesale Customer will be responsible for providing exemplary customer service to all actual and potential customers, including taking reasonable measures to respond to all customer inquiries. Selling Relationship Moore & Giles owns the name Moore & Giles. Wholesale Customers may not portray themselves as Moore & Giles in any form. Moore & Giles has the right to discontinue the partnership at any time. Responsibility Moore & Giles is in no way responsible or liable for the success of the Wholesale Customer’s website or store, the accuracy, or legality of its content and operation. Further, the Wholesale Customer has independently evaluated the desirability of participating in Moore & Giles’ Wholesale Program and is not relying on any representation, guarantee, or statement other than set forth in this agreement. Representation Of Product All Wholesale Customers using Moore & Giles’ logo, product images, product names, text, etc. must be an approved and authorized partner of Moore & Giles. Moore & Giles retains all rights to all images of products provided and retains the right to prohibit the use of any and all images provided. The Wholesale Customer may not use any of the images contained within the provided photos for any other purpose other than to gain sales. Wholesale Customer may not use any images provided in any other medium than in or on the specified website or store without prior written consent of Moore & Giles. The Wholesale Customer may not alter (e.g., crop, change background colors, add text) provided photos other than to size appropriately for website and marketing materials. The Wholesale Customer must describe the product in the appropriate category and may not represent the product in other categories or for other uses, without prior authorization from Moore & Giles. Moore & Giles will update the Wholesale Customer with any product changes (e.g. name, price, description, dimensions, stock, etc.). Private Labeling Moore & Giles does not participate in private labeling. The Wholesale Customer may not use any packaging or labeling other than that provided, specified, or approved by Moore & Giles. If the Wholesale Customer is found in violation of this, the relationship will be terminated. Exclusivity Moore & Giles evaluates each new customer by location, brand fit, customer segments, and purchasing intent. Moore & Giles values each relationship with our Wholesale Customers. While we do not guarantee exclusivity, we will work to protect the Wholesale Customer’s market. Severability If any provisions or sections of this agreement shall be deemed unlawful, void, or for any reason unenforceable, then that provision or section shall be deemed severed from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions.
