be paid by the Covenantors on demand. Unpaid interest shall be compounded annually.
5Deduction from Payments
5.1 The Covenantors shall pay all sums payable by them under this Deed free and clear of all deductions and withholdings unless the law requires a deduction or withholding to be made. If a deduction or withholding is so required the Covenantors shall pay such additional amount as will ensure that the net amount the Buyer receives equals the full amount which it would have received had the deduction or withholding not been required. 5.2 If either party to this Deed shall have assigned the benefit in whole or in part of this Deed then the liability of the other party under this clause shall be limited to that which it would have been had no such assignment taken place. 5.3 If any Tax Authority brings any sums paid by the Covenantors under this Deed into charge to Tax (or would charge to Tax in the absence of any Reliefs available to the Buyer) then the Covenantors shall pay such additional amount as will ensure that the total amount paid, less the Tax chargeable on such amount, is equal to the amount that would otherwise be payable under this Deed; if either party to this Deed shall have assigned the benefit in whole or in part of this Deed then the liability of the other party under this clause 5.3 shall be limited to that which it would have been had no such assignment taken place. 5.4 The recipient of an amount paid under this clause 5 shall claim from the appropriate Tax Authority any exemption, refund, credit or similar benefit to which it is or may be entitled in respect of any deduction or withholding in respect of which a payment has been made pursuant to clause 5.1 and, for such purposes shall, within any applicable time limits, submit any claims, notices, returns or applications and send a copy thereof to the payer. 5.5 If the recipient of a payment made under this Deed receives a credit for or refund of any Taxation payable by it or similar benefit by reason of any deduction or withholding for or on account of Taxation then it shall reimburse the other party such part of such additional amounts paid to it pursuant to clause 5.1 above as the recipient of the payment certifies to the other party will leave it, after such reimbursement, in no better and no worse position than it would have been if the other party had not been required to make such deduction or withholding.
6 Claims
6.1 If the Buyer or the Company become aware of any Tax Claim of which the Covenantors are unaware the Buyer shall give written notice to the Covenantors as soon as
