• Generally used for larger firms with high concentration of ownership held by a few individuals. • Initiation fees + annual valuation fees increase administrative cost • Tax benefits to sellers and new employee owners. • Creates ownership ‘culture’. • Can dilute direction and ‘ownership’ of business decisions. • Shares sold to a trust, trust is managed by a BOD • Stock acquired with pre-tax dollars if ESOP owns at least 30%.
• ESOP shares acquired by pension/profit sharing fund. • Some think ESOPs make everyone feel like an owner. • Some think ESOPs make no one feel like an owner.
