• What are we buying or selling? Stock vs Assets • How much are we paying or receiving? Valuation methods include financial and non-financial attributes of the company. These can include EBITDA, revenue, backlog, geographic location, brand name, client blend/concentration, bench depth of management, financial condition, cultural fit, and more. • How will the payments be made? Cash, notes, stock, retained assets, earn-outs • What do we have to do to get paid? Quantifying the risks for both sides and establishing representations and warranties; negotiating employment agreements.
