Section III: Governance and Oversight

7.4 Defining Roles and Responsibilities

7.4.1 Structuring board committee oversight

Accountability and oversight should address: • Who owns AI accountability at the executive level? • Which board committee is notied when AI risks emerge? • When does the full board become actively involved? In many organisations, the answers are not clear. Accountability remains fragmented across technology, legal, operations, data and innovation functions. is ambiguity creates governance gaps, delayed escalation, inconsistent controls and operational confusion.

While the full board retains ultimate responsibility for AI oversight, Specialised Board Committees should provide deeper oversight in their respective domains.

Boards should ensure that oversight boundaries are clear while avoiding fragmented governance or duplicated eort.

Specialised Board Committees

Board committees must bring structured depth to their oversight, setting boundaries and dening strategic value. Some typical responsibilities include: • Risk Committee: Evaluates whether high-consequence AI models are integrated into the material enterprise risk register rather than categorised as isolated technical projects. It ensures that a “high-risk” classication automatically triggers enhanced review and mitigation protocols. • Audit Committee: Focuses on AI’s impact on nancial reporting integrity, internal control environments, assurance processes, auditability, automated decision quality, and the veriability of management information. • Technology and/or Innovation Committee: Challenges the underlying data governance, compute infrastructure and organisational capability required to ensure AI adoption and innovation are competitive, safe and reliable. • Ethics, Sustainability or ESG Committee: Assesses the broader societal impacts, workforce transition, sustainability and ensuring accountability regarding who bears the reputational or ethical cost if an AI system delivers unfair, biased, or harmful outcomes.
