LOOKING BACK, MOVING FORWARD
Shortly following the assemblage of this annual report, Partner Ray Balestri unexpectedly passed. We grieve the loss of Ray, a tremendous husband and father, friend, mentor and member of our corporate team. Ray was instrumental in many of the accomplishments featured herein. We will be celebrating and honoring Ray’s life throughout 2025. His joie de vivre, intellect and warmth will be forever intwined in Bell Nunnally’s heritage, an indelible part of our DNA. 2024 was a busy year for Bell Nunnally. Propelled by our clients’ vision for the future, we were pleased to play an integral part in their success. As you will see highlighted in this report, Bell Nunnally thrives across practice disciplines, including representing WellWorx Energy Solutions in its sale to Liberty Lift Solutions, bolstering energy production capabilities in the Permian Basin, and aiding French company Viridien in its complex negotiation of a new long-term lease of more than 250,000 square feet of commercial office space and data center facilities for its North American headquarters in Houston. Proving we know how to move the ball toward the goal for clients, Bell Nunnally has been extensively involved in helping USL League One expansion soccer team Texoma FC get on the pitch. This notable engagement has seen our team working to secure funding from (American) football royalty the Gronkowski family and obtaining a complex work visa for England footballer (soccer) player and coach Adrian Forbes. Bell Nunnally also etched its name in the record books in 2024 as the first firm to file a matter in the newly minted Texas Business Courts, illustrating our commitment to putting clients first and proactively pursuing innovative and efficient solutions. Bell Nunnally’s ethos of doing the right thing in a responsive manner and our aim to be Behind Every Great Company TM led to a firm-record 23 Bell Nunnally attorneys listed in the 2024 edition of The Best Lawyers in America and 12 of our partners recognized on the Texas Super Lawyers list. Our next-generation leadership cohort was also honored, with 13 of our attorneys named to the “Texas Rising Stars” list. Attorneys featured across these rankings spanned our multidisciplinary and complementary practice offerings. In 2024, Benchmark Litigation named Bell Nunnally as “Recommended” in Texas, and eight of our partners were honored as either “Litigation Stars” or “Labor and Employment Stars.” Chambers and Partners acknowledged our Labor & Employment and Commercial Litigation practices in its 2024 Chambers USA guide, with five individual partners ranked. A busy 2024 necessitated and dovetailed with our longstanding smart growth strategy, working to attract legal talent – at all levels – that buys into Bell Nunnally’s collegial, client-first culture.
We had some terrific senior talent that joined Bell Nunnally in 2024, including additions from Am Law firms and from broker-dealer regulatory agency FINRA: • John Franklin Guild , who joined us as a partner in October, brings invaluable experience from his tenure as Senior Counsel in FINRA’s Department of Enforcement, further strengthening our litigation and regulatory defense capabilities. • Jonathan Farrokhnia , who joined us as a partner in September, has an extensive background in mergers and acquisitions, enriching our corporate practice, particularly for clients involved in complex transactional matters. • Spencer C. Diebel , who joined us as a partner in June, brings his experience in real estate law to the firm, augmenting our abilities to navigate intricate real estate transactions and disputes. • David Arvesen , who came on board as Senior Counsel in October, focuses on intellectual property law with a savvy that bolsters our IP practice, providing clients with robust patent prosecution, IP protection and strategic guidance across many disciplines including corporate and real estate. These senior attorneys were joined by nine new Bell Nunnally associates, all in our litigation department – one of the largest and most decorated in Texas. Bell Nunnally prides itself on being a firm family, a workplace that cares about and for one another. One example of this commitment is our longstanding Women’s Initiative focused on fostering firmwide work/life balance, providing working mother support and offering mentoring and networking opportunities. Bell Nunnally acknowledges and supports the many dimensions of our employees, offering resources and support for life’s challenges. Bell Nunnally also continued its long-standing partnership with the Dallas Volunteer Attorney Program (DVAP) at Austin Street Center, providing pro bono legal services to some of Dallas’ most vulnerable residents. Our attorneys helped address critical needs, from housing and family law issues to securing basic rights. This work reflects our belief that access to justice is fundamental and giving back is essential. As we reflect on a year of extraordinary accomplishments, we look forward to building on this momentum. Whether providing strategic counsel, navigating complex litigation or driving critical transactions, Bell Nunnally is committed to serving our clients, our communities and our professionals. Here’s to a great 2025!

IN MEMORIAM
Bell Nunnally mourns the passing of Ray Allen Balestri, who died on January 4, 2025, of natural causes at the age of 64.
Ray, the energetic leader of Bell Nunnally’s Transactional Section, was an integral part and a beloved partner of Bell Nunnally since 2009. He was widely known as a trusted advisor, strategist and advocate for his clients; a mentor to young attorneys and professionals; a passionate advocate and teacher of the law; and a valued colleague and friend. A graduate of Harvard Law School (J.D., 1985) and the University of Illinois, Urbana-Champaign (B.S., 1982), Ray quickly became a titan in the corporate and M&A world. As one of the top dealmakers in the United States, Ray’s transactional highlights during his 40 years of experience ran the gamut from representing startup companies in seed, venture and private equity financings and recapitalizations to advising established companies on complex multi-billion-dollar M&A deals. Ray dedicated significant time to mentor young attorneys and other professionals. He was passionate about imparting his extensive knowledge and experience to help others realize their potential and attain success. Ray’s mentorship has fostered and strengthened many in the hallways of Bell Nunnally, including current Bell Nunnally attorneys Josh Smith, Kimberly Cruz, Matthew DeWitte and Vikram Kadiri. Ray also inspired countless future business leaders and clients as an adjunct professor at SMU’s Cox School of Business for 25 years, teaching the MBA course “Startups to IPOs: Financial Transactions for Entrepreneurs.” Bell Nunnally Managing Partner Chris Trowbridge, a long-time friend and colleague of Ray, offered this reflection: “ Ray was extraordinary in his ability to combine the sharpest legal analysis with savvy business strategy to achieve the client’s goals. Ray was truly one-of-a-kind — with sophisticated wit, a mastery of words and prose and impeccable style. He maintained a keen interest in humanity, politics and the world around us. Ray always had an informed opinion and was not afraid to offer criticism or praise — and it was always presented in a professional but often bold and entertaining manner. Many of the largest transactions in Bell Nunnally’s history were led by Ray. His footprints in the corporate and M&A world have heightened the prestige and global significance of deals in Dallas and across Texas. He was man in full and leaves an indelible mark upon all lucky enough to have known him. Ray was a treasured friend and colleague to all of us at the firm, and this is a terrible and sudden loss of a brilliant, funny and charismatic man. We will deeply miss him. Ray will always remain a part of who Bell Nunnally is as a firm. ” In lieu of flowers, Ray’s family suggests donations to Friends of the Boundary Waters through their website . Gifts may be made in Ray’s memory. Ray’s full obituary, detailing his deep love for his family, his amazingly broad interests and talents, and his warm and engaging personality, may be found here.

Bell Nunnally Team Secures Multi-million Dollar Settlement for Solar Energy Renewable Labor Supplier Partners Saba Syed and Perrin Fourmy with Associate Catherine Baldo secured a settlement of $2.61 million on behalf of a solar energy renewable labor supplier for a 2,000-acre solar farm installation project in Anson, Texas. After inheriting this multi-party case from prior counsel at another law firm, Bell Nunnally aggressively litigated this matter on behalf of the client and secured a decisive win excluding an expert witness and defeating the general contractor’s motion for summary judgment and summary motion for lien removal under Chapter 53 of the Texas Property Code. The general contractor and surety agreed to settle within an hour of receiving the ruling. Bell Nunnally secured a settlement with the remaining two parties within one week of securing the win. Bell Nunnally Succeeds at Trial on Behalf of Commercial Landlord in Case Stemming from COVID-19 Shutdowns Partner Kartik Singapura and Associate Laura Lavernia represented Bitters JSEL, a commercial landlord and real estate investor, in a lawsuit against one of the largest franchisee operators (tenant) in the country and its owner (guarantor) in a breach of lease case. After the defendants abandoned the operation of an El Pollo Loco restaurant in San Antonio, Bitters JSEL signed a replacement tenant for the location and sought recovery of the difference in value between the two leases. The defendants claimed Bitters JSEL’s decision to sign a replacement tenant rather than agree to a rent abatement during COVID-19 shutdowns constituted a failure to mitigate damages. After a bench trial in the 224th Judicial District, Bexar County, Texas, the court found the tenant and guarantor in breach of contract and held them jointly and severally liable for damages and attorneys’ fees, totaling over $1.1 million.
Bell Nunnally Represents Financial Services Company in Significant Restrictive Covenant Litigation
Managing Partner Chris Trowbridge, Senior Associate Reid Burley and Associate Meredith Palmer represented a financial services company as lead trial counsel in significant restrictive covenant litigation involving the departure of three high-level sales representatives. These representatives left our client’s company and transferred millions of dollars under management to their new place of employment. Bell Nunnally successfully obtained a temporary restraining order and expedited discovery. The case is set for arbitration. Bell Nunnally Scores Appellate Win, Secures Dismissal of Clients from Lawsuit for Lack of Personal Jurisdiction Partner Kartik Singapura and Senior Associate Josh Fuller secured an appellate victory in the case of Cimiano v. Halberstam; No. 02- 23-00127-cv at the Court of Appeals, Second Appellate District of Texas at Fort Worth. The appellate court’s decision resulted in the dismissal of the clients from the lawsuit on the grounds of lack of personal jurisdiction. In Cimiano v. Halberstam , the plaintiffs had sued the out-of-state residents for fraudulent transfer. The defendants, represented by Bell Nunnally, filed a special appearance, arguing that the trial court lacked jurisdiction over their persons. The court of appeals affirmed the trial court’s decision in the client’s favor on the special appearance in all respects. Bell Nunnally Team Defeats Injunction Bid, Paving Way for Artist’s Album Release Partners Brent Turman and T.J. Hales and Associate Meredith Palmer successfully fended off a request for preliminary injunction in a matter related to the music of a prominent deceased musical artist. The defendants, whom the estate has claimed are interlopers attempting to unlawfully profit from the artist’s music, sought a preliminary injunction to prevent the estate from releasing music written and performed by the artist during his lifetime. One of the defendants claimed he was a producer because he helped with recording sessions of one of the to-be-released songs. The court denied the defendants’ request and found that the defendants did not proffer evidence of co-authorship, among other things. Accordingly, the estate was able to release an album, which skyrocketed up the Apple Music charts for the respective genre.

Bell Nunnally Represents Chemical Solutions Company in Successful Defense of Unpaid-Wage Suit Partner Mark Shoffner, Senior Counsel Christian Cowart and Senior Associate Josh Fuller secured a favorable outcome for Argyle, Texas-based chemical-solutions company BPS Just Energy Technology, LLC in parallel litigation in Midland County and Tarrant County. BPS’s former CEO had sued the company, claiming unpaid wages and bonuses totaling more than $600,000. The Bell Nunnally team first obtained an order granting a plea in abatement in the Midland County case, forcing the plaintiff to proceed only with the earlier-filed Tarrant County case stemming from the plaintiff’s appeal of an adverse Texas Workforce Commission decision. However, following this development, the plaintiff nonsuited his six-figure claims in both lawsuits, concluding the litigation. Bell Nunnally Represents Texas-Based Financial Institution Against Allegations of Age Discrimination Partners Mark Shoffner and Sydnie Shimkus successfully represented a Texas-based financial institution against allegations of age discrimination. A former branch manager alleged that he was terminated on the basis of age in violation of the Texas Labor Code and filed suit in Travis County, Texas. In support of its motion for summary judgment, the client provided evidence that it had disciplined the employee over the course of several years for violations of bank policy and procedures and that the termination was based on a legitimate, nondiscriminatory reason. Bell Nunnally Secures More Than $3.16M Arbitration Award for Solar Energy Construction Contractor Partners Saba Syed, Perrin Fourmy and T.J. Hales and Associate Catherine Baldo secured a final arbitration award of more than $3.16 million for our client, a solar energy construction contractor. The plaintiff, an engineering, procurement and construction (EPC) contractor, pursued legal action for breach of contract and performance bond claims against our client, seeking more than $17 million in damages. However, the Bell Nunnally team asserted its own vigorous defenses and counterclaims. Bell Nunnally defeated numerous damage claims at arbitration. This included completely invalidating an $11.4 million claim for liquidated damages as an unenforceable penalty. Despite being sued as the defendant, our client paid zero dollars in damages to the EPC contractor, and instead recovered over $3.16 million following the final arbitration award.
Bell Nunnally Achieves Complete Dismissal with Anti-SLAPP Motion in Defense of Dental Practice
Partner Brent Turman and Associate Laura Lavernia secured the complete dismissal of claims against clients Dr. Miguel Ortiz, DMD, Prosthodontist, and his dental practice. Kenneth Wilstead a/k/a “Dr. Kenny Smiles” sued Dr. Ortiz for business disparagement and invasion of privacy stemming from a series of Instagram live videos in which Dr. Ortiz invited Wilstead to a debate regarding Wilstead’s use of allegedly unethical and extreme orthodontic procedures. Based on publicly available information, the Bell Nunnally team rebutted Wilstead’s claims by informing the court of a likely and entirely unrelated basis for why Wilstead’s business had declined: his character and practices had been called into question by some of his current and prospective female patients, including allegations of sexual harassment and degrading interactions. Brent and Laura filed Chapter 27 Anti-SLAPP Motion to Dismiss, which the court granted in its entirety following a lengthy evidentiary hearing in Dallas County. After the Judge’s order, Wilstead also paid all attorneys’ fees incurred by Dr. Ortiz and his practice. Bell Nunnally Files First Texas Business Court Case in State History Led by Partner Heath Cheek, Senior Associate Nathan Cox and Associate Jason Elgersma, Bell Nunnally filed the first-ever case in the newly-formed Texas Business Courts. The story was featured in Texas Lawbook, Law360, Texas Lawyer and Bloomberg Law . The lawsuit involves an over $15 million damages claim arising out of a contract to construct a 38 mile fiber-optic cable project in Maryland and Virginia. The Texas Business Court is a statewide, specialized trial court created to resolve certain complex business disputes. It is the result of legislation passed by the Texas Legislature with the intent of more swiftly and effectively adjudicating business disputes and aligning the state with pro-business jurisdictions with business courts in place, such as Delaware. The Business Court became operational on September 1, and Heath and Nathan filed their case as soon as the court’s portal opened.
“Throughout our 40+ year history, Bell Nunnally has been at the leading edge of sophisticated complex litigation in Texas, and we look forward to pioneering this important new court system for all persons who seek to do business in Texas,” Heath said.
In the Law360 article “Construction Disputes Mark Opening Of Texas Biz Court,” Heath noted that, for this inaugural matter, the Business Court and its process would likely be mutually beneficial to both sides in the dispute, “We thought this was just a perfect case to be heard before the business court, not just for us, but we feel like both sides will benefit from it. How [the court] structured and how it’s set up to deal with this — quicker decisions, getting reasoned awards, written decisions rather than just pro forma one- line decisions like you normally get in state court … we just felt like the structure was better.”
The Travis County District Court granted summary judgment and dismissed the claims with prejudice. On appeal, after full briefing, the Texas Third Court of Appeals in Austin issued an opinion and affirmed our client’s victory.
Bell Nunnally Trial Team Defends Infrastructure Contractor in Negligence Jury Trial Partners Heath Cheek, Saba Syed and Beverly Whitley with Senior Associate Nathan Cox and numerous firm associates defended a Fortune 1000 infrastructure contractor in a Dallas County jury trial involving claims of negligence and negligent supervision. The plaintiff – a large gas-processing plant in West Texas – alleged that Bell Nunnally’s client negligently constructed a power line feeding the plant. The defense relied upon complex electrical engineering expertise to demonstrate that the damage to the plant was not caused by the power line. After a five-year long battle including a removal and then subsequent remand to the Texas Public Utilities Commission, the case ended via settlement on the second day of trial shortly after the Bell Nunnally team’s cross-examination of plaintiff’s primary liability expert.
