Bell Nunnally Represents JBB Advanced Technologies in $12.25B Carve-Out Sale of Blockchain Subsidiary Partner Heath Cheek and former partner Jarod Moss with Associate Matthew DeWitte represented Carrollton-based JBB Advanced Technologies LLC in its pending sale of blockchain technology unit Tronic to a corporate entity affiliated with one of JBB’s own executives for $12.25 billion – a “friendly transaction” of cash and shares. JBB, founded by Dallas entrepreneur John Billingsley in 2021, is a holding company. It acquired Tronic in late 2022. Tronic is an innovative technology company that “enhances the accessibility and usability of Web3 gamification, creating the next generation of online platforms for organizations to enhance engagement and loyalty among targeted audiences.” The company uses ledger technology, AI performance optimization and blockchain technology to build hyper-personalized solutions for membership- driven organizations, among others. Bell Nunnally Represents ProStar Energy Solutions in Sale to Crete United Partner Andrew Dowdy and Senior Associate Josh Smith represented Frisco-based ProStar Energy Solutions in its recent sale to Crete United. ProStar Energy Solutions, founded by Dallas Cowboys owner Jerry Jones and headquartered at The Star in Frisco, Texas, helps businesses save money by providing innovative, turnkey, energy-efficient and renewable energy solutions. Offerings include: LED lighting, patented IoT- and AI-powered controls and monitoring, solar, HVAC, mechanical systems, utility bill auditing and energy procurement services. “Andrew and Josh are first ballot hall of famers,” said Eric Sudol, President of Energy Efficiency at Crete United and CEO of ProStar Energy Solutions. “Their attention to detail and steadfast energy along the way were exceptional.” Charlotte-based Crete United is a leading provider of energy efficiency and HVAC, electrical and other mechanical (“MEP”) services. Per a Crete United-issued press release, the partnership with ProStar Energy Solutions, “creates a powerful and effective new connected delivery model integrating Crete United’s core HVAC, electrical and other mechanical services with ProStar’s data- backed energy management-as-a-service for the built environment.” “Partnering with Crete United, a fast-growing company with established relationships and deep MEP expertise, is an amazing opportunity that will enable us to bring efficient energy management solutions to the built environment,”said Eric Sudol, in the Crete United release. Bell Nunnally Represents Oil and Gas Technology Service Company WellWorx in Sale to Liberty Lift Solutions Led by Partner Andrew Dowdy, Bell Nunnally represented WellWorx Energy Solutions, LLC – a Midland, Texas-based production service company and equipment provider for production automation, solids management, fluid handling and downhole gas management – in its recent sale to Houston-based Liberty Lift Solutions, LLC. “From the moment we entered into a distribution agreement with Liberty Lift, it was clear their values mirrored ours in integrity and the desire to offer our customers a full solution for the total life of their wells,” said Matt Raglin, WellWorx Energy President in a Liberty Lift-issued press release.
