3RD PARTY ECOMMERCE MARKETPLACE POLICY

All sales are final. Garments shipped in error or containing fabric or manufacturing defects must be returned only with a Dickies Authorization to Return merchandise form. This form must be requested from the Dickies Occupational Wear Customer Service Center. Merchandise returned without this authorization form will not be accepted. A restocking fee of $.99 per garment will be charged on all approved returns for reasons of customer accommodation. Garments that have been altered by the customer or per customer request, or pants available only in open bottoms that have been altered per customer request, will not be accepted for return. Dickies is not responsible for any delays in shipments for causes beyond its control. Inventory on certain styles may vary by season. Please check with your Customer Service Representative for stock availability. Prices are subject to change without notice. Claims for shortage in shipment must be made upon receipt. Late claims will not be honored. Only deductions supported by our issued credit memoranda will be recognized. Orders are subject to acceptance by corporate headquarters in Fort Worth, TX. $2,000 minimum order is required to open an account. To maintain active status, an account’s annual volume must meet a minimum of $10,000. ORDER POLICY For non-standard sizes, a 100% additional surcharge will be added to the closest stocked size. There is a 12 piece minimum per lot number. All special cuts are subject to prior approval. Special cuts are non cancelable and non-returnable. In order to maintain the integrity of our brands (Dickies, Walls, Liberty, and Big Smith), Williamson-Dickie Mfg. Co has established the following policy. Customers may not sell our products as a third party on any ecommerce/marketplace sites. At this time, the policy described is effective for our corporately produced brands. Our licensed brand extensions (i.e.: belts, socks, headwear, footwear, etc.) maintain their own policy regarding marketplace selling, and we encourage you to contact them if you are not clear about those permissions. Please note: This policy does not prevent our customers from selling Dickies on their own company website. Williamson-Dickie Mfg. Co. has entered into exclusive distribution agreements for numerous overseas markets. These designated distributors are the only authorized dealers of DICKIES brand goods in those markets. In order to support our agreements with these distributors and protect our investment in the growth of the brand, we have adopted a policy of selling DICKIES brand goods domestically only to those companies who purchase such goods for resale to consumers within the U.S. borders. Accordingly, any company which purchases DICKIES brand goods for export, or for sale to parties intending to export the same, is engaging in conduct which violates this established policy. Exporting DICKIES brand goods sold to you in the United States, or the sale of DICKIES brands goods to third parties you know, or have reason to believe, intend to export such goods, will result in the Company’s termination of its relationship with you and its refusal to supply you with any further DICKIES brand goods. We value our customers’ contribution to the growth of the DICKIES brand. We are committed to preserving a “win-win” relationship with all domestic accounts which abide by this policy. However, we are equally determined to honor our contractual obligations to our international distributors and we will take vigorous action to defend these markets from “gray market” exports.
