EU TAXONOMY REGULATION

Taxonomy-aligned CapEx of TEUR 11,903 (2024/25: 23,389) in the numerator is calculated in the same way as for revenue, i.e. Taxonomy alignment is determined on the basis of compliance with the technical screening criteria. No material changes have been made to the CapEx budget with total capital expenditure of TEUR 80,147 approved in the 2022/23 financial year for the development of a product line that is par- ticularly energy-efficient (energy efficiency class A or B), contributes to climate change mitigation and has a development period lasting several years. The resulting Taxono- my-eligible capital expenditure incurred for economic activity CCM-3.5 and the environ- mental objective of climate change mitiga- tion are shown as 100% Taxonomy-aligned. The year-on-year change is largely in line with the approved CapEx budget.

Compared with the previous year, impro- vements in efficiency have increased the proportion of products in the top two energy efficiency classes. At the same time, the expansion of the list of critical substances (DNSH) and the revised assessment of emergency lighting without EPREL classifi- cation have led to a decline in the number of Taxonomy-aligned products. The restate- ment of the prior-year figures results from the change in the classification of emergen- cy lighting; the corresponding figure has been restated from TEUR 263,464 to TEUR 207,427.

CapEx

Capital expenditure in the denominator of TEUR 57,350 (2024/25: 89,713) corre- sponds to additions to property, plant and equipment, assets under construction and intangible assets, including IFRS 16 right-of- use assets reported in the IFRS consolida- ted financial statements (see Notes 2.6.6.2 Other intangible assets and 2.6.6.3 Property, plant and equipment). Capital expenditure is allocated to the key economic activities CCM-3.5 and CCM-6.5. The consolidated Group amounts are used as the basis for measuring CapEx. Taxonomy-eligible CapEx contains invest- ments in category (a), (b) or (c) of the Dele- gated Act supplementing Article 8 1.1.2.2. Examples include

OpEx

OpEx encompasses all direct, non-capita- lised costs for research and development expenses, building renovation measures, maintenance and repair expenses and short-term leases. This OpEx is not mate- rial to the Zumtobel Group’s value creation and business model. The core business is based on the manufacture of products, with the main investments in production assets and technology being accounted for under CapEx. OpEx has no material impact on environmental performance or the strate- gic direction. OpEx totalled TEUR 34,983 in financial year 2025/26 (2024/25: TEUR 33,091). Its proportion of revenue is of minor significance (2025/26: 3.4%; 2024/25: 3.0%). A Taxonomy assessment has therefore been omitted.
