GENERAL INFORMATION TRANSPORTATION: Transportation for horses will be available to any place in the United States. Commercial haulers will be present. (See Special Notices for information regarding required Brand Inspections). INSURANCE: Representatives from major equine insurance companies will be at the sale. ABSENTEE BUYERS: Arrangements can be made through our sales office for absentee phone bidding. If you plan to bid by phone you must register prior to bidding and be pre-approved no later than noon August 1st. A “Request to Purchase by Check” and/or a bank “Letter of Credit” must be on file prior to conducting absentee bidding. The Sale will be streamed online and online bidding will be offered! VETERINARIANS: The Sale Veterinarian will be available during the day for inspection of animals. STALLS: Stall assignments will be available about two weeks prior to the sale. REGISTRATION PAPERS: After all accounts are settled, the ownership will be transferred to the new owner by the Sale Company. AQHA will then send the QH Certificate to the new owner. Thoroughbred certificates will be credited to the Registration Account at The Jockey Club after the buyer has established an account with The Jockey Club. All registration papers not to be transferred will be returned to the proper owners within 30 days of sale. No papers will be distributed at the sale.

CARE OF HORSES AFTER SALE: Although it is the consignor’s responsibility to provide care and feed for their horses until noon the day following purchase, please be reminded that title passes at the fall of the hammer, at which time the purchaser assumes all risk and responsibility for the horse. Purchasers are ad- vised to contact the consignor confirming when the horse will be picked up and insuring that proper care will be provided until that time. The horse Sale Com- pany is not responsible for care and feeding. ALL HORSES MUST BE REMOVED FROM THE SALE PREMISES BY NOON OF THE DAY FOLLOWING THE LAST SALE SESSION . Any delays in ship- ment must be approved by the Sales Company and these animals are left at the buyer’s risk and are the buyer’s responsibility for care and feeding. A $50.00 per day charge will be assessed for any animal left without care and feed. ALL ACCOUNTS MUST BE PAID AT TIME OF SALE, unless satisfactory credit has been established allowing deferring payment to within ten days of sale. Payments received later than ten days from date of sale are subject to 1.5% interest per month on unpaid balance. Checks returned “insufficient funds” are subject to a $125 charge, plus attorney fees and court costs.

1. Ensure that the correct animal has been hip numbered. The Sale Com- pany assumes no responsibility that the animal auctioned is the same as presented in the catalog. 2. Ensure that the Certificate of Registration accurately describes the ani- mal being sold. If Sale inspectors discover that discrepancies exist, a Corrected Certificate form, four photographs, and the $20 fee re- quired by AQHA must be submitted to reissue the Certificate. The Sale Co. charges $75 for this service. Total Cost to Consignor: $95. CHECK YOUR CERTIFICATE OF REGISTRATION CAREFULLY RESERVE BIDS & UPDATES : Reserve BIDS and UPDATES will be accepted no later than 3:00 p.m. on the day of the Sale. Forms are available on raceruidoso.com website, in the catalog, and in the Sales Office. ANNOUNCEMENTS: Pay attention to all announcements made during the sale. Supplemental information occurring after the catalog was printed is pro- vided to buyers in the form of announcements by the auctioneers during the auction. This information can be extremely important regarding changes in the catalog description of the horse and could be vital in determining the suitability and desirability of bidding on the entry. Prospective buyers can question the consignor as to any updates pending as announcements prior to the auction. PAY ATTENTION TO THESE ANNOUNCEMENTS . STAKES ENGAGEMENTS: All eligibility payments due following the auction become the responsibility of the buyer. Each track has a Nomination Secretary (Doris Alvarez, 575-378-7316; Monique Figueroa, 575-378-7224) who is re- sponsible for receiving the proper payments. It is the buyer’s responsibility to notify the Nominations Secretary of their purchases and mailing address in or- der to receive future payment schedules. The Sales Company validates Triple Crown eligibility; reliability of all other engagements as shown in the catalog per the Consignor are assumed to be correct but not guaranteed by the Sale com pany. ACKNOWLEDGMENT OF PURCHASE (AOP): This document is the pur- chase agreement indicating the purchaser, the purchaser’s address, the Hip number purchased and the purchase price . When the clerk presents the docu- ment for signature, it is the responsibility of the buyer or the buyer’s agent to provide the correct information to transfer ownership. This legal document as- signs payment responsibility. Whomever signs the AOP is ultimately responsi- ble for payment whether it be the new owner or an agent. Every AOP requires proper execution of information and signature of bidder, whether it be an actual purchase or a repurchase. Cooperation with the ticket clerk is appreciated in all instances. Present the gold buyer copy when paying.

SPECIAL NOTICES (3) HEALTH CERTIFICATE & COGGINS: A current, licensed veterinarian’s Health Certificate , including EHV-1 vaccination specifications, VSV (Vesicu- lar Stomatitis Virus) examination results showing no clinical signs of the virus, and a negative Coggins test are required for each yearling. Coggins must have been performed within six (6) months of sale date. Copies will be pro- vided in each buyer’s package. Each Consignor is aware that these require- ments are mandatory for inclusion in auction. A Copy of both can be found in the Buyer’s Package presented when paying for purchase. TRAVEL REQUIREMENTS: The New Mexico Livestock Board requires travel permits for all animals coming in from out-of-state. Please contact the NMLB permit line for an entry permit (800-432-6889). A brand inspection is a requirement to travel interstate or intrastate in New Mexico. A New Mexico licensed Brand Inspector will be available at the Sale to issue this brand inspection at no charge to the buyer. The State assesses a healthy fine if a horse is transported without this document in hand. MULTIPLE EMBRYOS: Neither the Sale Company nor the Sale Catalog Company will be held responsible for providing information as to multiple embryos (foals of the same year) out of mares or dams in the Sale; nor will they be held liable in any way for buyer’s belated awareness of such infor- mation. This information is provided by the consignor and is assumed to be accurate.

CONDITIONS OF SALE: BIDDERS TAKE NOTICE All American Ruidoso Horse Sales, LLC, Ruidoso Downs, New Mexico THIS SALE IS CONDUCTED IN ACCORDANCE WITH, AND ALL ACTS OF IN- TERESTED PARTIES AND/OR CLAIMS BY THEM SHALL BE GOVERNED BY, THE FOLLOWING CONDITIONS OF SALE: FIRST-APPLICABLE LAW : All horses in this sale are offered according to the laws of the state wherein the sale is conducted. The right to bid, as provided un- der law, is reserved for all consignors unless otherwise announced. SECOND-THERE IS NO WARRANTY EXPRESSED OR IMPLIED BY THE AUCTIONEER, SPONSORS, OWNER OR CONSIGNOR, AS TO THE PER- FORMING SOUNDNESS, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OF ANY HORSE OFFERED IN THIS SALE. ALL HORSES ARE SOLD “AS IS” WITH ALL EXISTING CONDITIONS AND DE- FECTS EXCEPT AS SET FORTH IN CONDITIONS EIGHTH, NINTH, TENTH AND ELEVENTH BELOW. BUYERS SHOULD EXAMINE HORSES PRIOR TO PURCHASING. THIRD-BIDDING PROCEDURE : Unless waived by announcement, there shall be an upset price of $1,500 on any animal entering the sales ring. If an opening bid in the amount of the upset price is not immediately forthcoming to the auc- tioneer’s call, the animal shall be passed out as unsold. The person making the highest bid recognized by auctioneer shall be the buyer. The auctioneer shall immediately present the buyer with a document entitled Acknowledgment Of Pur chase . Should such presentation not be made prior to commencement of bidding on the next lot offered, the buyer shall forthwith identify himself or her- self to auctioneer as the buyer and sign the Acknowledgment Of Purchase . In the event that a person other than the recognized buyer signs the Acknowledg- ment Of Purchase , such action shall not give such other person any right or title to the horse. Immediately after such erroneous signing of the Acknowledgment Of Purchase becomes known to the auctioneer, he shall cause the Acknowledg- ment Of Purchase to be presented to the recognized buyer for signature. If the highest bidder fails to immediately execute the Acknowledgment Of Purchase or otherwise fails to comply with the Conditions of Sale, or in the event of a mistake by the auctioneer, All American Ruidoso Horse Sales, LLC Reserves the option to re-sell the animal and such resale shall terminate all obligations of All American Ruidoso Horse Sales, LLC and the consignor to honor any prior bid. FOURTH-BIDDING DISPUTES : Should any dispute arise between or among two or more bidders, the auctioneer shall forthwith adjudicate the dispute, and his decision shall be absolute, final and binding on all parties. Bids received by personnel employed by the undersigned have the same stature as bids re- ceived by auctioneer. In case of dispute, the bidding shall be reopened for ad- vanced bids, and if there be no advanced bid, the horse is sold to the person from whom auctioneer recognized the last bid. Advanced bidding shall be re- stricted to the disputing parties, unless the bid be reduced below the level of the recognized bid at commencement of dispute, in which case bidding is reopened to all. The auctioneer reserves the right to reject any or all bids. FIFTH-TITLE AND DELIVERY: Title passes to buyer at fall of the hammer. All risk of injury to the horse becomes buyer’s risk at passing of title. Horse will be held for buyer by consignor until buyer makes settlement as provided in CONDI- TION SIXTH below. Buyer shall immediately present himself or herself to make settlement if requested by auctioneer, but in any case shall so present himself or herself within thirty minutes of conclusion of the sales session in which the horse was purchased. Upon settlement by buyer, horse will be delivered pursuant to a “stable release” provided by undersigned to buyer or his or her representative. Buyer or his or her representative shall present “stable release” to designee of undersigned to remove horse from sales premises after taking possession, but in any case taking possession of the horse by buyer or his or her representative shall constitute delivery. Upon delivery, buyer shall cause horse to be removed promptly from the sales premises, or shall be subject to stable charges as deter- mined by undersigned. In addition, should purchaser fail to cause horse to be removed promptly, undersigned may cause horse to be removed from sales premises at buyer’s risk and expense. 6

SIXTH-TERMS FOR SETTLEMENT: Buyer shall make settlement with cashier of the undersigned. Payments to others, including consignors or their represen- tatives, do not constitute settlement. Buyer shall present himself or herself to make settlement as provided in CONDITION FIFTH above for the full purchase price, such settlement to be in form of U.S. currency or equivalent acceptable to cashier. The Acknowledgment of Purchase is not transferable without the ap- proval of All American Ruidoso Horse Sales, LLC and the copy of the Acknowl- edgment of Purchase retained by the buyer must be presented by the buyer at the time of settlement. SEVENTH-DEFAULTERS: SHOULD BUYER FAIL TO COMPLY IN ANY RE- SPECT WITH CONDITIONS FIFTH AND SIXTH ABOVE, THE UNDER- SIGNED MAY, IN ITS ABSOLUTE DISCRETION, PURSUE ANY REMEDY AVAILABLE AGAINST THE DEFAULTING BUYER, INCLUDING, BUT NOT LIMITED TO, TAKING POSSESSION OF THE HORSE, RESALE OF THE HORSE AT PUBLIC AUCTION OR BY PRIVATE TREATY FOR ACCOUNT OF DEFAULTER. In any such case defaulter shall be liable for any deficit in his ac- count after charging to his account all costs of maintenance and resale, includ- ing, but not limited to, service charges, attorneys fees, costs of litigation, and damages available to undersigned by law. EIGHTH-WARRANTIES AS TO DESCRIPTION: UNLESS OTHERWISE AN- NOUNCED THERE IS NO REPRESENTATION OR WARRANTY AS TO THE BREEDING QUALITIES OF ANY HORSE DESCRIBED AT TIME OF SALE. NINTH-WARRANTIES AS TO SOUNDNESS: UNLESS EXPRESSLY ANNOUNCED FROM THE AUCTION STAND, OR BY OFFICIAL PUBLICATION OF THE UNDERSIGNED, OR AS HEREINAFTER PROVIDED, THERE IS NO WARRANTY OR GUARANTEE OF ANY KIND AS TO THE SOUNDNESS OR CONDITION OR OTHER QUALITY OF ANY HORSE SOLD IN THIS SALE. TENTH-LIMITED WARRANTIES. 1. Horses which are unsound in wind (applicable only to racing prospects which have started) or eyes, are “cribbers”, “wind suckers”, “bleeders”, or “crypt or- chids/monorchids” must be so announced. Horses currently on any starters’ lists, or which have been administered Lasix in their last three (3) starts must be so announced. 2. Veterinary services are available to bidders in the stables and each bidder is encouraged to conduct such inspection and examination of each animal as the bidder desires prior to bidding. Except as otherwise announced by the auction- eer at the time of sale, the consignor of each animal represents and warrants to the buyer and All American Ruidoso Horse Sales, LLC title to the animal free from all adverse claims to ownership, use or possession. Except for the forego- ing limited warranty each animal is sold by the consignor WITHOUT WAR- RANTY AND WITH ALL FAULTS. In the event that any animal is not as represented in the Sale Catalog or on the breach of the foregoing limited war- ranty (as the Sale Catalog or limited warranty might be modified by announce- ment at the time of sale) the buyer shall file with All American Ruidoso Horse Sales, LLC a written notice of rejection of the animal with such supporting certifi- cates as All American Ruidoso Horse Sale, LLC might require within twenty-four (24) hours after the close of the Sale session in which the animal was purchased. If the buyer rightfully rejects the animal in the manner and within the time pro- vided, the animal will be returned by the buyer to the consignor and the consignor will refund to the buyer the full purchase price of the animal together with all rea- sonable expenses incurred by the buyer in connection with the animal from the time of sale until the return to the consignor. 3. Neither All American Ruidoso Horse Sale, LLC nor QData/Robin Glenn Pedi- grees/AQHA will be held responsible for providing information as to multiple embryos (foals born in the same year) or to embryo transfers out of mares or first dams in sale; nor will either company be held liable in any way for buyer’s be- lated awareness of such information. 7

ELEVENTH-CONSIGNEE STATUS: All American Ruidoso Horse Sales, LLC is operating as an independent contractor engaged in the business of conducting a consignment sale. All American Ruidoso Horse Sales, LLC has compiled the Sale Catalog from information provided by the designated consignor. All an- nouncements by the auctioneer at the time of sale are made on behalf of the designated consignor and will take precedence over the printed provisions of the Sale Catalog. In the event of any dispute between the buyer and the con- signor, All American Ruidoso Horse Sales, LLC will occupy the position of agent for a disclosed principal and stake holder and will be discharged from all obliga- tions owing to the consignor or the buyer on delivery of any property or funds held by All American Ruidoso Horse Sales, LLC to the Court having jurisdiction of such dispute. All American Ruidoso Horse Sales, LLC makes NO REPRE- SENTATION OR WARRANTY with respect to any animal and the buyer must look solely to the designated consignor for recovery of any damage by reason of the failure of any representation or limited warranty. TWELFTH-CATALOG AND ANNOUNCEMENTS: Horses catalogued in this sale are offered as represented by consignor, and auctioneer is not responsible for the accuracy of information provided. While certain information may have been procured by auctioneer from third parties on behalf of consignor, it is nonetheless solely the responsibility of consignor to verify the accuracy of such information and to notify the auctioneer of any corrections prior to sale. With respect to pro- duce records of broodmares, the terms “barren” or “open” shall mean that the mare was bred, was not found to have slipped, and failed to produce a foal. In case of error or omission, buyer shall seek redress only from consignor. THIRTEENTH-ARBITRATION : 1. Any controversy arising out of a claim arising under WARRANTIES shall be settled by arbitration between the buyer and con- signor pursuant to the following procedure: Upon the auctioneer’s determina- tion that a claim under such CONDITIONS OF SALE has been timely and properly presented by the buyer pursuant to these CONDITIONS OF SALE, and upon notice from the auctioneer, the buyer and the consignor shall each se- lect a licensed veterinarian acceptable to the auctioneer. If such veterinarians fail to agree promptly as to the validity of the claim, they or the buyer and the consignor involved in the controversy, shall agree upon a third licensed veteri- narian. If such two veterinarians, or the buyer and the consignor, are unable to agree promptly upon the third veterinarian, the auctioneer shall appoint the third veterinarian. The third veterinarian’s fee, expenses and costs shall be paid by the party whose property the horse is determined to be. The panel of three vet- erinarians shall conduct any tests, investigation, or examinations which they deem necessary, and may, in their discretion, conduct a hearing by notifying the auctioneer to arrange for the hearing, and shall, by majority vote, determine the validity of the claim. The auctioneer shall determine the amount of reimburse- ment due to a buyer whose claim is found to be valid and may, in its sole discre- tion, conduct a hearing to aid in making such a determination, and such determination shall be incorporated in the award. 2. Any other controversy between or among the buyer, consignor & auctioneer arising out of a claim made under these CONDITIONS shall be settled by arbi- tration among the parties in accordance with the American Arbitration Assoc. 3. Arbitration under 1 or 2 above shall take place in a location to be designated by the Sale manager. Judgement upon any award rendered by the arbitrator(s) may be entered by any party and any court having jurisdiction thereof. The auc- tioneer will be entitled to reimbursement from the party whose property the horse is determined to be for reasonable attorney’s fees and other costs in- curred in the arbitration and any related court proceedings. FOURTEENTH-COLLATERAL AGREEMENTS: The auctioneer shall not be bound by any oral or written agreement or alleged agreement varying from these CONDITIONS OF SALE between the buyer and the consignor unless agreed to by the auctioneer, and any controversy or claim between the buyer and the con- signor arising under any such agreement shall be a matter for their resolution. 8

ADDITIONAL LIMITED WARRANTY CONSIGNORS warrant that any yearling in the All-American Ruidoso Horse Sale, LLC (AARHS) shall not have been administered any Exog- enous Anabolic Steroids, Clenbuterol, Albuterol, Bisphosphonates, Ractopamine, Zilpaterol, or Beta Agonists (prohibited substances). For the purchaser to avail him or herself of this Warranty, the purchaser agrees to pay AARHS $500 to cover direct costs and administrative ex- penses regarding the blood or hair sample being taken. AARHS will then arrange for the Sale veterinarian or Sale representative to obtain a blood or hair sample to be taken immediately after the fall of the hammer and prior to the animal leaving the sale grounds, to be sent to a labora- tory selected by AARHS for testing for prohibited substances (PS). Should the post-sale test reveal the presence of a PS at such level as de- termined by the testing laboratory that shows that a PS is present in the system of the horse (positive test), the purchaser shall have the right to rescind the purchase of the horse, in which case, the purchaser must give notice to AARHS within 24 hours of notification of the positive test results. If the purchaser chooses to rescind the purchase of the horse as a results of the positive test for PS, AARHS will refund the purchase price which has been held from the Consignor pending the test results. AARHS will give the test results to the purchaser and seller as soon as practical after receiving the results, usually within ten days of the Sale date. In addition, neither the purchaser or consignor shall have the right, nor shall AARHS have any obligation to conduct testing of a split sample. AARHS’s decision concerning the validity of a positive test, supported by the testing laboratory selected by AARHS, shall be fully binding upon the consignor, purchaser, and all other interested parties. In the event any party challenges the AARHS’s exercise of discretion, absence of fraud, or bad faith, such party shall be liable for all AARHS reasonable expenses including, but not limited to such items as the $500 testing fee, veterinarian charges, vanning, insurance, and boarding. Purchaser will be required to exercise due care during the recession period in maintaining and boarding of the horse. The purchaser shall not cause the horse to be materially altered during the recession period.

In the event of a positive test, risk of loss shall remain with the purchaser from the fall of the hammer until the consignor has been notified of pur- chaser’s election to rescind the sale at which time risk of loss passes back to the consignor. The consignor shall remain responsible for pay- ing the standard commission and fees, bases upon the gavel price, as indicated on the Consignor’s Contract and for the testing fee, veterinar- ian charges, vanning, insurance, boarding, and any other expenses in- curred while the purchaser waited for the test results. In reference to Exogenous Anabolic Steroids, upon the recommendation of the Scientific Advisory Committee of RCI, AARHS will use the 25pg/ml plasma level for quantification as a basis for a positive test, which means an effective ban on using any of the four anabolic steroids, Testosterone, Stanozolol, Boldenone, and Nandrolene. ACCEPTABLE METHODS OF PAYMENT THE FOLLOWING RULES APPLY:
1. In order to be pre-approved to pay by personal or business check, a completed, notarized BUYER REGISTRATION & REQUEST TO PURCHASE BY CHECK form (available in the catalog or on website) must be received by the Sale Company no later than 15 days prior to the sale. 2. The following applies to all purchases by check: a. No out-of-the-country checks will be accepted. b. No second-party or third-party checks will be accepted. c. MULTIPLE EMBRYOS Since the American Quarter Horse Association (AQHA) rule change allowing multiple foals to be registered out of the same mare in the same year, it is not possible for the AQHA, Equineline, the Sale Company nor the Sale Catalog Com- pany to know how many live foals a mare has produced in a given year. PLEASE NOTE: Because a foal is an embryo transfer born to a recipient mare, it does not nec- essarily mean that it is one of multiple embryos . The fact that a foal was not an embryo transfer does not necessarily mean that it was a single foal .
