In accordance with Paragraph 15(C) of the Distributor Marketing Agreement, a site that has been removed from the Exhibit ‘A’ of the Distributor Marketing Agreement is no longer considered branded and must follow the appropriate guidelines for the removal of the Valero Mark. This event is commonly referred to as the debranding of a site. Valero Energy Corporation and Valero Refining and Marketing Company (“Valero”) are the exclusive owners of Valero and Diamond Shamrock names, logos, brand images and brand-specific colors in connection with the sale of gasoline and/or convenience store services. These items are collectively known as the Valero “Mark.” Upon termination of a given site, the continued use of the aforementioned elements at that site, in part or in full, constitutes an unauthorized use of the Valero Mark. Continued use of any items, materials, or images that make up the Valero Mark is a violation of the Lanham Act, a federal law, and constitutes trademark infringement among other legal implications. VALERO CONFIRMATION OF THE DEBRAND Debranding requirements are outlined on the next several pages and generally include the removal or painting over of any items that make up the aforementioned Valero (or associated brand) Mark, as well as other graphic elements that the motoring public may associate with the Valero family of brands. Valero requires that all stations be completely debranded within 30 calendar days of the Effective Debrand Date. After completing the debrand, and ensuring that all Valero elements have been obliterated, it is critical that completion photos are sent to the Valero Debrand Specialist. Photos must be all inclusive and depict all areas where the Valero Mark has been removed. A Valero representative will confirm that the debrand requirements have been met. If further removal is required, the work must be completed immediately. If the debrand has not been completed within the 30 calendar day period, the remaining work is subject to be scheduled and completed by Valero. All associated costs incurred by Valero will be re-billed to the distributor. Please contact debrands@valero.com for any questions, concerns, or assistance.
