Aesthetic Committee as set forth in this Declaration. The Board bas the sole discretion to appoint and remove members oftheArchitectural and Aesthetic Committee. Section7.2. Duties ofthe Architectural and Aesthetic Committee, It shall be the duty oftlie Architectural and Aesthetic Committee to consider and act upon any and all proposals or plans submitted to it pursuant tothe terms ofthe GoverningDocuments, to ensure that anyImprovements constructed on the property conform to plans approved by the Architectural and Aesthetic Committee, to recommend the Board adopt or amend the Architectural and Aesthetic Rules, and to perform other duties imposed upon it by the Governing Documents. Section 7.3. Architectural and Aesthetic Committee Approval oflmprovements. (A) Notwithstanding anything contained in the Governing Docwnents expressly or impliedly to the contrary, no building, fence, wall or other structure or Improvement shall be constructed or maintained upon the Lots, nor shall any exterior addition, change or alteration be made in, on or to the Lots or Recreational Vehicles including without limitation painting, repainting and landscaping and all Improvements, until the plans and specifications, locating plat and color scheme showing the nature, shape, dimensions, materials and location of the same shall have been submitted to and approved in writing by the Architectural and Aesthetic Committee. (B) Approval shall be based, among other things, on conformity and harmony ofdesign and location in relation to surroundingImprovements, effect on location and use ofImprovements and landscaping on neighboring property, aesthetic beauty, and conformity with Rules and Regulations and/or Architectural and Aesthetic Rules. TheArchitectural and Aesthetic Committee shall recommend to the Board whether or not the prevention or removal ofany unauthorized and unapproved constructions ofImprovements should be undertaken. The Board, on behalf of the Association, may then exercise all available 1egal and equitable remedies to prevent or remove any unauthorized and unapproved construction ofImprovements on the Development. The Board shall have the right to establish a fee for the review of plans and specifications. Owners shall be responsible for the Association's costs incurred for review of their plans. (C) For purposes oftheGoverningDocwnents,the tenn"Improvement" includes,without limitation, the construction, installation, alteration, or remodeling of any buildings, wa11s, decks, fences, pools, landscaping, antennas, utility lines, structures, installations and improvements ofany kind. (D) The Architecturaland Aesthetic Committee shall, inwriting, approve or disapprove plans (including landscaping plans) submitted to it within forty-five (45) days. During the summer months, the Board can delegate to the general manager, the duty to review and make decisions on applications submitted during that time. The Architectural and Aesthetic Committee can condition its approval of an Improvement subject to certain conditions being met, including, but not limited to, requiring the Owner to enter into a separate agreement for an easement, license, maintenance and/or indemnification. In the case of such "conditional" approval, the Improvement will not be considered approved unless or until allstated conditions have beenmet. Ifa plan is disapproved, the disapproval must in�lude a description ofwhy the plan was disapproved and a description of the procedure for reconsideration of the decision by the Board.
