Forms of Attack Against the Sui Network All networked systems are vulnerable to various kinds of attacks. As with any computer network, the Sui Network contains certain flaws. For example, the Sui Network is currently vulnerable to attacks where, if a validator or group of validators acting in concert were to gain control of more than certain thresholds of staked SUI, a malicious actor would be able to gain full control of the network and the ability to manipulate the Sui Network. As of the date of this prospectus, no validator node individually controlled more than 3% of the voting power on the Sui Network. In addition, many digital asset networks have been subjected to a number of denial of service attacks, which has led to temporary delays in block creation and the transfer of digital assets. For example, on June 19, 2023, smart-contract audit firm Certik disclosed that they had discovered a bug in the Sui code that could cause a type of denial of service attack that could cause the Sui Network to go offline and cease full functionality. Certik apparently disclosed the vulnerability to the Sui Foundation and Mysten before the Sui Network’s launch, so it could be fixed unilaterally. However, had the vulnerability been exploited after the network was launched, while persons associated with the Sui Foundation and/or Mysten would have likely played a key role in bringing the network back online, the broader community would have had to play a key role, as Sui Network validators would have had to coordinate to upgrade and restart the network. Any similar attacks on the Sui Network that impact the ability to transfer SUI could have a material adverse effect on the price of SUI and the value of the Shares. Market Participants Validators Validators range from Sui enthusiasts to professional operations that design and build dedicated machines and data centers, including “clusters,” which are groups of validators that act cohesively and combine their processing to confirm transactions. When a validator confirms a transaction, the validator and any associated stakers receive a fee. During the course of ordering transactions and validating blocks, validators may be able to prioritize certain transactions in return for increased transaction fees, an incentive system known as “Maximal Extractable Value” or MEV. For example, in blockchain networks that facilitate DeFi protocols in particular, such as the Ethereum Network, users may attempt to gain an advantage over other users by offering greater transaction fees. Validators less commonly capture MEV in the Sui Network because, unlike the Ethereum Network, it does not publicly expose
