Any warranty on the products sold hereby are those made by the manufacturer. The seller hereby expressly disclaims all warranties either express or implied, including any implied warranty of merchantability or fitness for a particular purpose, and neither assumes nor authorizes any other person to assume for it any liability in connection with sale of said products. The Buyer agrees that in every case delivery to a transportation company shall constitute delivery to Buyer. The Buyer shall have the right to examine the goods upon arrival and with five business days after such arrival, Buyer must give notice to seller by telephone, mail, or other electronic means of any claim for damages on account of condition of the property and must specify the basis of his claim in detail. The failure of the Buyer to comply with this requirement shall constitute irrevocable acceptance of the goods and bind Buyer to pay the price thereof. Any tax imposed in respect of the sale of the products sold hereunder shall be added to and paid as part of the purchase price, or in lieu thereof, the Buyer shall provide seller with a tax exemption certificate acceptable to the tax authorities. If suit or legal action is necessary to collect sums due under this agreement. Seller shall be entitled to reasonable attorneys fees and costs to be set by the court. Any action by either party concerning the agreement shall be venued in the courts of the state of the seller’s place of business shown on the agreement. MAC Trailer Enterprises, Inc., its subsidiaries and affiliates, directors, officers, employees and agents shall not be responsible for any loss, theft or damage to contents of customer vehicles or equipment or any other incidental or consequential damages arising out of any alleged vehicle or contents loss or damage. “Contents” includes, but is not limited to, cargo (whether owned by you or a third party), personal property such as communication devices, navigation equipment, tools, computer media and equipment and entertainment systems. It is solely the Buyer’s responsibility to use personnel trained and informed on proper parts installation, maintenance, and operation of the purchased product. MAC Trailer Enterprises, Inc. parts and products are specialized pieces of equipment presumed to be purchased by or for knowledgeable industry professionals.
